Constitution may be delegated to a Standing Committee.11.12 The Management Committee may alter the membership of anyStanding Committee at any time. No Standing Committee shallhave power to act on behalf of the Club including the spending ofany money or entering into any obligation, financially or otherwiseunless expressly authorised to do so by minutes in writing of theManagement Committee.11.13 The Captain may appoint a Voting Member to be a Convenor of anyactivity whether sporting or otherwise.11.14 No act or proceeding of the Management Committee and StandingCommittee shall be invalidated by any vacancy on the ManagementCommittee or Standing Committee thereof, or on the groundsthat a member of the Management Committee or StandingCommittee thereof was not qualified at or had become disqualifiedafter the date of his appointment.11.15 Any ambiguity or difference of opinion concerning the purport orinterpretation of any provision in this Constitution or the Bye-lawsshall be determined by the Management Committee. TheManagement Committee may also determine any matter that is notspecified in this Constitution or the Bye-laws. The decision of theManagement Committee shall be final unless it is revised at theGeneral Meeting of members.11.16 No claim shall be made by the Club or its members against anymember of the Management Committee or Standing Committee orany other committee or sub-committee or convenor for any actor omission by the member in the performance of his dutiesunless there is fraud by that member. Such members shall beindemnified by the Club from and against any liabilities, costs,expenses and payments whatsoever which may be incurred or madeby them in the performance of their duties.11.17 Members of the Management Committee shall be required toexecute a declaration and undertaking of non-conflict of interestwhen taking office.24
