Compensation of the Members of the Board of<br />
Management<br />
There was no general adjustment of Board of Management<br />
<strong>com</strong>pensation in <strong>2011</strong>. At its meeting on March 8, <strong>2011</strong>, the<br />
Supervisory Board passed a resolution to adjust the <strong>com</strong>pensation<br />
of Dr. Teyssen and Dr. Schenck effective September 1, <strong>2011</strong>.<br />
The Supervisory Board determined that the Board of Management’s<br />
<strong>com</strong>pensation is appropriate. In accordance with<br />
VorstAG’s provisions, the Supervisory Board made this determination<br />
in particular by means of horizontal <strong>com</strong>parisons.<br />
The figures for performance rights granted do not indicate<br />
actual payments in <strong>2011</strong> but rather indicate values, based on<br />
<strong>com</strong>mercial principles, of the performance rights granted in<br />
<strong>2011</strong>. The payout of the performance rights from the sixth<br />
tranche will be calculated at the end of 2014 on the basis of<br />
E.ON’s stock price and the value-added factor. As a result,<br />
the payout figures could be higher or lower than the figures<br />
shown here.<br />

The Board of Management’s <strong>com</strong>pensation was subject to a<br />
market <strong>com</strong>parison with <strong>com</strong>pensation at <strong>com</strong>panies of similar<br />
size and in similar industries.<br />
The total <strong>com</strong>pensation of the members of the Board of Management<br />
in the <strong>2011</strong> financial year amounted to €17.6 million<br />
(2010: €15.4 million). Individual members of the Board of Management<br />
were paid the following total <strong>com</strong>pensation:<br />
