La Consob aggiorna la disciplina<br />
degli shareholders’ rights<br />

Come noto, il D. Lgs. 27 gennaio 2010, n. 27, entrato in<br />
vigore in diversi periodi dell’anno scorso, ha introdotto<br />
rilevanti novità nella disciplina delle società per azioni<br />
quotate, in attuazione della Direttiva 2007/36/CE (cd.<br />
shareholders’ rights), modificando diverse norme del D.<br />
Lgs. 24 febbraio 1998 n. 58 (cd. Tuf) ed alcuni articoli<br />
del Codice Civile (libro V, titolo V, capo V).<br />
Tali novità hanno reso necessario un conseguente<br />
adeguamento della normativa di secondo livello, ed in<br />
particolare l’intervento della Consob sul Regolamento<br />
Emittenti, avvenuto con la Delibera n. 17592, del 14<br />
dicembre 2010, che ha introdotto nuove disposizioni in<br />
materia di informazione societaria, identificazione dei<br />
soci, deleghe di voto, nonché voto per corrispondenza e<br />
in via elettronica.<br />
In particolare, per quanto riguarda il tema dell’informazione<br />
societaria, è stato sostanzialmente generalizzato<br />
l’obbligo delle società quotate di mettere a disposizione<br />
del pubblico, presso la sede sociale, sul sito internet e<br />
con le altre modalità previste dal Capo I del Regolamento<br />
Emittenti, una serie di comunicazioni, informazioni<br />
e delibere connesse agli avvenimenti più rilevanti<br />
nella “vita” della società. Tra le altre, si evidenziano le<br />
comunicazioni in tema di fusione, scissione, acquisto<br />
o alienazione di azioni proprie, aumento di capitale sociale<br />
tramite conferimenti in natura, aumento di capitale<br />
sociale con esclusione o limitazione del diritto di opzione<br />
nonché tutte le delibere delle assemblee ordinarie e<br />
straordinarie.<br />
Con riferimento alle novità in materia di identificazione<br />
degli azionisti tramite la società di gestione accentrata,<br />
previste dal nuovo articolo 83-duodecies, Tuf, la Delibera<br />
Consob n. 17592/2010 ha introdotto l’articolo 133bis,<br />
al fine di regolare la ripartizione dei costi connessi a<br />
tale eventualità.<br />
Più precisamente:<br />
• il comma 1 stabilisce che, nel caso in cui la richiesta<br />
di identificazione ex articolo 83-duodecies, sia prevista<br />
dallo statuto della società, è necessario che lo stesso<br />
disciplini anche i criteri di ripartizione dei costi, qualora<br />
la richiesta sia effettuata dai soci ai sensi del comma 3<br />
del medesimo articolo.<br />
• Il comma 2 sancisce che, qualora la richiesta venga<br />
avanzata dai soci nei sei mesi successivi alla chiusura<br />
dell’esercizio sociale, e comunque prima dell’assemblea<br />
ordinaria annuale (volta all’approvazione del bilancio<br />
d’esercizio), e non sia stata effettuata alcuna richiesta<br />
analoga nello stesso periodo, la società è obbligata a<br />
sostenere per intero i relativi costi.<br />
Consob amends rules on shareholders’<br />

As known, Legislative Decree n. 27 dated January 27,<br />
2010, become effective in different periods of the last<br />
year, has introduced significant news in the listed companies<br />
law, implementing the Directive 2007/36/EC (i.e.<br />
shareholders’ rights) and amending several provisions<br />
of Legislative Decree n. 58 dated February 24, 1998 (i.e.<br />
Consolidated Law on Finance - “Tuf”) and some Sections of<br />
the Italian Civil Code (Book V, Title V, Chapter V).<br />
Such amendments have rendered necessary a consequent<br />
updating of the second degree regulations, and in particular<br />
the Consob intervention on the Regulation on Issuers<br />
by means of Resolution n. 17592 dated December 14,<br />
2010, which has introduced new provisions on company<br />
information, shareholders’ identification, voting delegation,<br />
as well as postal and electronic voting.<br />
In particular, as far as concerns the company information<br />
matter, it has been substantially generalized the listed<br />
companies’ obligation to make available to the public, at<br />
the registered office, on the website and in accordance with<br />
the other modalities provided for by Chapter I of Regulation<br />
on Issuers, a set of disclosures, information and<br />
resolutions connected to the most important events of the<br />
company’s “life”. Among others, we highlight the disclosures<br />
in case of merger, spin-off, purchase and sale of own<br />
shares, corporate capital increase by means of contribution<br />
in kind, corporate capital increase with exclusion or<br />
restriction of the option right, as well as all the resolutions<br />
of the ordinary and extraordinary shareholders’ meetings.<br />
With reference to the amendments on shareholders’ identification<br />
by means of the central securities depository,<br />
provided for by the amended Section 83-duodecies, Tuf,<br />
the Consob Resolution n. 17592/2010 has introduced<br />
Section 133-bis, in order to regulate the costs distribution<br />
connected to such possibility.<br />
More precisely:<br />
• paragraph 1sets forth that should the request of identification,<br />
pursuant to Section 83-duodecies, be provided for<br />
by the company’s by-laws, the same shall also discipline<br />
costs distribution criteria, in case such a request is put<br />
forward by the shareholders pursuant to paragraph 3 of<br />
the same Section.<br />
• Paragraph 2 provides for that, should the request be put<br />
forward by the shareholders within six months following<br />
the end of the financial year, and however, prior to the<br />
yearly shareholders meeting (aimed at the approval of the<br />
yearly financial statements), in lack of any similar request<br />
in the same period, the company has to fully support the<br />
relevant costs.<br />
