Content: after identifying the functions<br />
international capital markets perform for<br />
their participants, their impact on global<br />
economies and the risks and issues involved,<br />
the course explores the key legal<br />
concepts of effective regulation applied in<br />
germany, the Eu and the us. Topics include<br />
rules against insi<strong>der</strong> trading as well as<br />
disclosure requirements with respect to<br />
significant shareholdings, directors’ dealings<br />
and important corporate events. The<br />
course later analyzes how market transparency<br />
is affected in the context of a<br />
public takeover and reviews the influence<br />
of certain players and supervisory authorities.<br />

Content: The course focuses on corpo-<br />
rate governance in stock corporations and<br />
discusses in detail the german corporate<br />
governance code. as the course takes<br />
a comparative approach, recent trends<br />
on the European level, as well as in the<br />
us and uK, will be taken into account. a<br />
prerequisite for participation in the course<br />
is “corporate law” at bucerius or an equivalent<br />
course in your home country. as<br />
case studies form an integral part of this<br />
course, students should be willing to take<br />
