workers, material <strong>and</strong> equipment, <strong>and</strong> prosecute the Work with diligence so as to maintain progress, to<br />

prevent Work stoppage <strong>and</strong> to achieve Substantial Completion of the Work within the Contract Time.<br />

7.2.2 Substantial Completion. Substantial Completion is that stage in the progress of the Work when<br />

the Work is complete in accordance with the Contract Documents, including but not limited to start-up <strong>and</strong><br />

testing, so the District can occupy or use the Work <strong>and</strong> Project for its intended purpose; provided that, as a<br />

condition precedent to Substantial Completion, the Architect <strong>and</strong> District’s Inspector shall have each agreed<br />

that the Work <strong>and</strong> Project have reached a stage of substantial completion <strong>and</strong> the District shall have<br />

received all permits, approvals, licenses, <strong>and</strong> other documents from any governmental authority having<br />

jurisdiction thereof necessary for the beneficial use of the Project. Substantial Completion shall be<br />

determined by the Architect <strong>and</strong> the District's Inspector upon request by the Contractor in accordance with<br />

the Contract Documents. The good faith <strong>and</strong> reasonable determination of Substantial Completion by the<br />

District's Inspector <strong>and</strong> the Architect shall be controlling <strong>and</strong> final.<br />

7.2.3 Correction or Completion of the Work After Substantial Completion. Upon achieving<br />

Substantial Completion of the Work, the District, the District's Inspector, the Project Manager, the Architect<br />

<strong>and</strong> the Contractor shall jointly inspect the Work <strong>and</strong> prepare a comprehensive list of items of the Work<br />

(punch list) to be corrected or completed by the Contractor. The exclusion of, or failure to include, any item<br />

on such list shall not alter or limit the obligation of the Contractor to complete or correct any portion of the<br />

Work in accordance with the Contract Documents. In the event that the Contractor shall fail or refuse, for<br />

any reason, to complete all punch list items within the Contract Time, Contractor shall be subject to<br />

assessment of Liquidated Damages in accordance with Article 7.4 hereof. If the Contractor fails or refuses<br />

to complete all items of the Work within the Contract Time, the District may, in its sole <strong>and</strong> exclusive<br />

discretion <strong>and</strong> without further notice to Contractor, elect to cause the completion of such items of the Work,<br />

provided, however, that such election by the District is in addition to, <strong>and</strong> not in lieu of, any other right or<br />

remedy of the District under the Contract Documents or at law. If the District elects to complete items of<br />

the Work, Contractor shall be responsible for all costs incurred by the District in connection therewith <strong>and</strong><br />

the District may deduct such costs from the Contract Price then or thereafter due the Contractor; if these<br />

costs exceed the remaining Contract Price due to the Contractor, the Contractor <strong>and</strong> the Performance<br />

Bond Surety are liable to District for any such excess costs.<br />

7.2.4 Final Completion. Final Completion is that stage of the Work when all Work has been completed<br />

in accordance with the Contract Documents, including without limitation, the performance of all punch list<br />

items noted upon Substantial Completion, <strong>and</strong> the Contract has been otherwise fully performed by the<br />

Contractor. Final Completion shall be determined by the Architect <strong>and</strong> the District's Inspector upon request<br />

of the Contractor. The good faith <strong>and</strong> reasonable determination of Final Completion by the District's<br />

Inspector <strong>and</strong> the Architect shall be controlling <strong>and</strong> final.<br />

7.2.5 Contractor Responsibility for Multiple Inspections. In the event the Contractor shall request<br />

determination of Substantial or Final Completion <strong>and</strong> it is determined by the District that the Work does not<br />

then justify certification of Substantial or Final Completion, as applicable, <strong>and</strong> re-inspection is required at a<br />

subsequent time to make such determination, the Contractor shall be responsible for all costs of such reinspection,<br />

including without limitation, the fees of the Architect <strong>and</strong> the salary of the District's Inspector.<br />

The District may deduct such costs from the Contract Price then due or thereafter due to the Contractor.<br />

7.2.6 Final Acceptance. Final Acceptance of the Work shall occur upon approval of the Work by the<br />

District's Board of Trustees. Such approval shall be submitted for adoption at the next regularly scheduled<br />

meeting of the District's Board of Trustees after the determination of Final Completion. The<br />

commencement of any warranty or guarantee period under the Contract Documents shall be deemed to be<br />

the date upon the District’s Board of Trustees approves of the Final Acceptance of the Work.<br />

7.3 Progress Schedule<br />
