The Remuneration Committee Continued<br />

Non-<strong>Executive</strong> directorships<br />

The Non-<strong>Executive</strong> <strong>Direct</strong>ors enter into an agreement with the<br />

Group for a period of three years. The appointments of the<br />

Non-<strong>Executive</strong> <strong>Direct</strong>ors may be terminated by either party on<br />

one month’s written notice and in accordance with the Articles of<br />

Association of the Company. Termination would be immediate in<br />

certain circumstances (including the bankruptcy of the<br />

Non-<strong>Executive</strong> <strong>Direct</strong>or).<br />

Non-<strong>Executive</strong> <strong>Direct</strong>ors are subject to confidentiality undertakings<br />

without limitation in time. Non-<strong>Executive</strong> <strong>Direct</strong>ors are not entitled to<br />

receive any compensation on the termination of their appointment.<br />

Fees for Non-<strong>Executive</strong> <strong>Direct</strong>ors are set out on pages 59.<br />
