15.16 Commercial Acts<br />

15.16.1The Procurer(s) and Seller unconditionally and irrevocably agree that the execution,<br />

delivery and per<strong>for</strong>mance by each <strong>of</strong> them <strong>of</strong> this Agreement and any other RFP<br />

Documents to which it is a Party constitute private and commercial acts rather than public<br />

or governmental acts.<br />

15.17 Restriction <strong>of</strong> Shareholders / Owners’ Liability<br />

15.17.1Parties expressly agree and acknowledge that none <strong>of</strong> the shareholders <strong>of</strong> the Parties<br />

hereto shall be liable to the other Parties <strong>for</strong> any <strong>of</strong> the contractual obligations <strong>of</strong> the<br />

concerned Party under this Agreement. Further, the financial liabilities <strong>of</strong> the<br />

shareholder/s <strong>of</strong> each Party to this Agreement, shall be restricted to the extent provided in<br />

the Indian Companies Act, 1956.<br />

15.18 Taxes and Duties<br />

15.18.1The Seller shall bear and promptly pay all statutory taxes, duties, levies and cess,<br />

assessed/ levied on the Seller, contractors or their employees, that are required to be paid<br />

by the Seller as per the Law in relation to the execution <strong>of</strong> the Agreement and <strong>for</strong><br />

supplying power as per the terms <strong>of</strong> this Agreement.<br />

15.18.2Procurer(s) shall be indemnified and held harmless by the Seller against any claims that<br />

may be made against Procurer(s) in relation to the matters set out in Article 15.18.1.<br />

15.18.3Procurer(s) shall not be liable <strong>for</strong> any payment <strong>of</strong>, taxes, duties, levies, cess whatsoever<br />

<strong>for</strong> discharging any obligation <strong>of</strong> the Seller by the Procurer(s) on behalf <strong>of</strong> Seller or its<br />

personnel, provided the Seller has consented in writing to Procurer(s) <strong>for</strong> such work,<br />

which consent shall not be unreasonably withheld.<br />

15.19 No Consequential or Indirect Losses<br />

15.19.1The liability <strong>of</strong> the Seller and the Procurer(s) shall be limited to that explicitly provided<br />

in this Agreement.<br />

Provided that notwithstanding anything contained in this Agreement, under no event shall<br />

the Procurer(s) or the Seller claim from one another any indirect or consequential losses<br />

or damages.<br />

15.20 Discretion<br />

Except where this Agreement expressly requires a Party to act fairly or reasonably, a<br />

Party may exercise any discretion given to it under this Agreement in any way it deems<br />

fit.<br />

15.21 Order <strong>of</strong> priority in application<br />

In case <strong>of</strong> inconsistencies between the agreement(s) executed between the Parties,<br />

applicable Law including rules and regulations framed thereunder, the order <strong>of</strong> priority as<br />

between them shall be the order in which they are placed below::<br />
