Standard RFP <strong>for</strong> ….[Insert ‘medium’ or ‘long’, as applicable] term power procurement under Case - 1<br />

2.2.4.1 The Bid shall contain a legally en<strong>for</strong>ceable Consortium Agreement entered amongst<br />

the Members in the Bidding Consortium, designating one <strong>of</strong> the Members to be the<br />

Lead Member (as per Format 4.3). There shall be only one Lead Member which<br />

shall continue to hold fifty one percent (51%) equity in the Project Company up to a<br />

period <strong>of</strong> two (2) years after commencement <strong>of</strong> supply <strong>of</strong> power and twenty six<br />

(26%) <strong>for</strong> a period <strong>of</strong> three (3) years thereafter as per provisions <strong>of</strong> Clause 2.7 <strong>of</strong><br />

this RFP and Article 13.2 <strong>of</strong> the PPA. Each Member <strong>of</strong> the Bidding Consortium<br />

shall duly sign the Consortium Agreement making it liable <strong>for</strong> raising the required<br />

funds <strong>for</strong> its respective equity investment commitment as specified in the<br />

Consortium Agreement. In the absence <strong>of</strong> a duly executed Consortium Agreement,<br />

the Bid will not be considered <strong>for</strong> evaluation and will be rejected.<br />

Provided however that the Lead Member <strong>of</strong> the Bidding Consortium shall be liable<br />

to the extent <strong>of</strong> one hundred percent (100%) <strong>of</strong> the total proposed commitment <strong>of</strong><br />

equity investment in the Project Company, i.e., <strong>for</strong> both its own liability as well as<br />

the liability <strong>of</strong> the other Members.<br />

Provided further that the Consortium Agreement shall not be amended without the<br />

prior written approval <strong>of</strong> the Procurer/ Authorized Representative.<br />

2.2.4.2 The Lead Member shall designate one person to represent the Consortium in its<br />

dealings with the Procurer/ Authorized Representative. The person designated by<br />

the Lead Member shall be authorized through a <strong>Power</strong> <strong>of</strong> Attorney (as per Format<br />

4.2 (a)) to per<strong>for</strong>m all tasks including, but not limited to providing in<strong>for</strong>mation,<br />

responding to enquiries, signing <strong>of</strong> Bid on behalf <strong>of</strong> the Consortium, etc.<br />

Additionally, the Bid shall also contain a <strong>Power</strong> <strong>of</strong> Attorney in original (as per<br />

Format 4.2 (b)) in favor <strong>of</strong> the Lead Member issued by the other Members <strong>of</strong> the<br />

Consortium.<br />

2.2.4.3 The Bid shall also contain signed letter <strong>of</strong> consent as per Format 4.4 from each<br />

Member <strong>of</strong> the Consortium confirming that the Bid has been reviewed and each<br />

element <strong>of</strong> the Bid is agreed to by them including but not limited to the investment<br />

commitment in the Project Company.<br />

2.2.4.4 Point <strong>of</strong> contact in case <strong>of</strong> Bidding Consortium<br />

In case <strong>of</strong> Bid being submitted by a Consortium, the Lead Member <strong>of</strong> the<br />

Consortium shall be the single point <strong>of</strong> contact <strong>for</strong> the purposes <strong>of</strong> the Bid process,<br />

be<strong>for</strong>e the date <strong>of</strong> signing <strong>of</strong> last <strong>of</strong> the RFP Documents. Settlement <strong>of</strong> any dispute<br />

amongst the Consortium Members shall not be the responsibility <strong>of</strong> the Procurer/<br />

Authorized Representative and the Procurer/ Authorized Representative shall not<br />

bear any liability whatsoever on this account.<br />

2.2.5 Bid submitted by a Bidding Company<br />

2.2.5.1 The Bidding Company should designate one person to represent the Bidding<br />

Company in its dealings with the Procurer / Authorized Representative. The person<br />

should be authorized to per<strong>for</strong>m all tasks including, but not limited to providing<br />

in<strong>for</strong>mation, responding to enquiries, signing <strong>of</strong> Bid etc. The Bidding Company<br />

should submit, along with Bid, a <strong>Power</strong> <strong>of</strong> Attorney in original (as per Format 4.2<br />

(a)), authorizing the signatory <strong>of</strong> the Bid.<br />
