Romeo L. Bernardo.<br />
Mr. Bernardo, 58, Filipino, has served as Director since<br />
September 2001. He is Managing Director of Lazaro<br />
Bernardo Tiu and Associates (LBT), a financial advisory firm<br />
based in Manila. He is also a GlobalSource economist in<br />
the Philippines. He is Chairman of ALFM Family of Funds<br />
and Philippine Stock Index Fund. He is likewise a director<br />
of several companies and organizations including Aboitiz<br />
Power, BPI, RFM Corporation, Philippine Investment<br />
Management, Inc. (PHINMA), Philippine Institute for<br />
Development Studies (PIDS), BPI-Philam Life Assurance<br />
Corporation, National Reinsurance Corporation of the<br />
Philippines and Institute for Development and Econometric<br />
Analysis. He previously served as Undersecretary of<br />
Finance and as Alternate Executive Director of the Asian<br />
Development Bank. He was an Advisor of the World Bank<br />
and the IMF (Washington D.C.). Mr. Bernardo holds a<br />
degree in Bachelor of Science in Business Economics<br />
from the University of the Philippines (magna cum laude)<br />
and a Masters Degree in Development Economics at<br />
Williams College from Williams College in Williamstown,<br />
Massachusetts.<br />
Guillermo D. Luchangco.<br />
Mr. Luchangco, 73, Filipino, has served as Independent<br />
Director since September 2001. He is also Chairman and<br />
Chief Executive Officer of various companies of the ICCP<br />
Group, including Investment & Capital Corporation of the<br />
Philippines, Science Park of the Philippines, Inc., Cebu<br />
Light Industrial Park, Inc., Pueblo de Oro Development<br />
Corp., Regatta Properties, Inc, and RFM-Science Park<br />
of the Philippines, Inc.; ICCP Venture Partners, Inc. and<br />
Manila Exposition Complex, Inc.; Chairman and President<br />
of Beacon Property Ventures, Inc.; Independent Director of<br />

Mr. Lazaro, 66, Filipino, has served as Director since January<br />
1997. He is a member of the Management Committee of<br />
<strong>Ayala</strong> Corporation. His other significant positions include:<br />
Chairman of Philwater Holdings Company, Inc., Atlas<br />
Fertilizer & Chemicals Inc., Chairman and President of<br />
Michigan Power, Inc., and A.C.S.T. Business Holdings, Inc.;<br />
Chairman of Azalea Intl. Venture Partners, Ltd.; Director of<br />
<strong>Ayala</strong> Land, Inc., Integrated Micro-Electronics, Inc., Manila<br />
Water Co., Inc., <strong>Ayala</strong> DBS Holdings, Inc., AYC Holdings,<br />
Ltd., <strong>Ayala</strong> International Holdings, Ltd., Bestfull Holdings<br />
Limited, AG Holdings, AI North America, Inc., Probe<br />
Productions, Inc. and Empire Insurance Company; and<br />
Trustee of Insular Life Assurance Co., Ltd. He was named<br />
Management Man of the Year 1999 by the Management<br />
Association of the Philippines for his contribution to the<br />
conceptualization and implementation of the Philippine<br />
Energy Development Plan and to the passage of the law<br />
creating the Department of Energy. He was also cited<br />
for stabilizing the power situation that helped the country<br />
achieve successive high growth levels up to the Asian crisis<br />
in 1997.<br />
Tay Soo Meng.<br />
Mr. Tay, 63, Singaporean, was elected as Director on<br />
8 February 2011. Mr. Tay has been the Executive Vice<br />
President for Networks of Singapore Telecommunications<br />
Limited (SingTel) since 1 September 2010. Prior to this,<br />
he was with Optus Networks as Managing Director since<br />
July 2008 and was responsible for driving the technology,<br />
engineering and operation of Optus’ fixed, satellite, IP and<br />
mobile networks to meet strategic and operational needs.<br />
Mr. Tay was also the Vice President of Network Operations<br />
for SingTel, overseeing SingTel’s Network Operation for two<br />
years – including Local, International and Mobile Switch<br />
Management Operations, Satellite Operations, Submarine<br />
Cables Management and Restoration, Field Operations,<br />
Outside Plant Operations, SingTel Group Operations,<br />
Business Operations and Network Operation centre.<br />
Before this assignment, Mr. Tay was Vice President of<br />
Mobile Networks for SingTel. Mr. Tay has over 40 years of<br />
global telecommunication experience and was responsible<br />
for setting up paging and cellular networks for SingTel’s<br />
overseas joint ventures. He was the GSM Association’s Asia<br />
Pacific Chairman in 1997 and was responsible for looking<br />
after the interests of GSM operators in the Asia Pacific<br />
region. Mr. Tay holds an MBA degree from the University of<br />
Leicester (England).<br />
Xavier P. Loinaz.<br />
Mr. Loinaz, 69, Filipino, has served as Independent Director<br />
since April 2009. He was formerly the President of the<br />
Bank of the Philippine Islands (BPI). He currently holds<br />
the following positions: Independent Director of BPI, BPI<br />
Capital Corporation, BPI Direct Savings Bank, Inc., BPI/<br />
MS Insurance Corporation, BPI Family Savings Bank, Inc.<br />
and <strong>Ayala</strong> Corporation; Member of the Board of Trustees<br />
of BPI Foundation, Inc. and E. Zobel Foundation; and<br />
Chairman of the Board of Directors of Alay Kapwa Kilusan<br />
Pangkalusugan.<br />
Manuel A. Pacis.<br />
Mr. Pacis, 68, Filipino, has served as Independent Director<br />
since April 2011. He was formerly a Vice President<br />
for Finance of the Procter & Gamble Company (P&G)<br />
in Cincinnati, Ohio. He held positions of increasing<br />
responsibility in the Philippines, the US, Mexico, China,<br />
and Japan including Chief Financial Officer of P&G Asia,<br />
and a Global Business Unit (GBU). He also served as Vice<br />
President for Internal Controls Worldwide and Financial<br />
Systems Worldwide at P&G. His wide-ranging experiences<br />
throughout his business career have included leadership<br />
roles in corporate governance, strategic planning, internal<br />
audit, management systems / IT, M&A, joint ventures, and<br />
finance & accounting.<br />
