the preceding month.C. Special Counsel shall report to the Corporation Counsel when he or she hasbiled 70% of total contract amount. Special Counsel shall not be paid for services unless priorapproval by the Corporation Counsel once Special Counsel reaches the 100% threshold.D. The Corporation Counsel reserves the right to terminate this agreement at anytie for any reason whatsoever. Upon termiation, Special Counsel shall be paid for servicesrendered up to the date of termiation. Thereafter, this agreement shall be null and void withno further rights or obligations emanatig therefrom.E. This agreement shall not become effective and Special Counsel shall provide noservices under this agreement until he or she has executed the following documents:(1) Minority /Woman Business Enterprise Questionnaire;(2) Procurement and Service Contracts, Language" A";(3) Mandatory Business Registration.Biling Practices and Other Guidelines ProceduresDisbursements should be charged only on the basis of the actual direct out-of-pocket costto the Special Counsel and biled with sufficient detail to permit assessment of their compliancewith the following guidelines: (I) in the case of photocopying, the per page charge not to exceedfiteen cents ($.15) per page; (ii) in the case of facsimile transmittal, the per page charge not toexceed one dollar and fifty cents ($1.50) per page; and (iii) charges for mileage and parking shallnot be charged to the City.The City expects that the Special Counsel wil need to obtain the services of third-partiessuch as court reporters, investigators, consultants, experts, title companies, appraisers, messenger
services, etc., in order to carry out their assignents and wil contract with those service providersupon the approval of the City. With the exception of the court reporters, Special Counsel shallnoti the City of their engagement of all thrd-party service providers and obtain authorizationfor those services from the City. The Special Counsel wil pay all thrd-party service providersdirectly and wil bil the City for those services detailed disbursements included in monthlyinvoices. Ths City wil not accept separate invoices from service providers directly to the City forpayment.If the Special Counsel receives discounts from messenger services, title agencies,investigators or other categories of service provider, those discounts must be passed on tot he Cityand noted on each in voice.The City does not agree to pay for the following disbursements unless specificallyapproved in advance for any specific matter by the City.· word processing;. secretaries' overtie, proofreading, placing or organzing documents in files;· meals;· first class air or rail travel, chauffeur driven liousines;· hotel accommodations; and· charges for use of conference rooms or office space.Should the services of one or more other persons with Special Counsel's firm be deemednecessary and approved, the City expects that an appropriate number of attorneys and paralegalsat all practice levels wil be available for assignent to its matters so that matters can be handledin the most efficient maner possible. Further, the City expects that tasks wil be performed by the
