to or involving Environmental Contamination or any other substance, product, matter ormaterial in any form or state, any cumulative or other injury or damage, any activity,operation, or exposure or any alleged bad faith, conspiracy, or extra-contractual or tortliability, (b) for damages, indemnity, contribution, defense obligations, costs or expenses,or (c) pursuant to or under a contract, other agreement, promise, representation orWalTanty or pursuant to any direct action or statutory or regulatory iight of action), or(2) "Claim" as that term is defined in the United States Bankruptcy Code, 11 U.S.c.§ 101(5). Without limitation, "Claim" shall include any Environmental Claim and anyand all assertions or rights capable (absent this Agreement) of being covered by thePolicies.2.08 "Policies" means all policies of insurance, whether known or unknown,whether issued or allegedly issued, whether primary, umbrella, excess or otherwise, andwhether liability, owners', landlord and tenant, owners and contractors, first party,~environmental hazard, environmental impairment, inland marne liability, bumbershoot,automobile or otherwise, issued or allegedly issued prior to the Effective Date byTravelers(including but not limited to those policies listed on Exhibit A): i) to JerseyCity; or ii) under which Jersey City claims insurance, rights or benefits.Notwithstanding any other portion ofthis paragraph 2.08 to the contrary, the termPolicies shall not include: (l) those pars of any worker's compensation insurance policythat are required to be maintained pursuant to applicable statutory worker's compensationlaws; and (2) any life insurance policies.2.09 "Effective Date" means the date of the last signature placed hereon, andthis Agreement shall be effective as of such date.Page 6 of20
