- .-- ,.'.. - '--.:. _......_'~.and hold harmless <strong>the</strong> <strong>City</strong>, its <strong>of</strong>ficers, directors, employees or agents from and against.any and all claims, suits and demands based upon any <strong>of</strong> <strong>the</strong> risks so assumed, whe<strong>the</strong>rjust or unjust, fraudulent or not, and for all costs and expenses incurredby <strong>the</strong>m in <strong>the</strong>defense, settlement or satisfaction <strong>of</strong> any such claims, including attorney's fees and costs<strong>of</strong> suit. If so directed, <strong>the</strong> Licensee shall, at no cost or expense to <strong>the</strong> <strong>City</strong>, defend againstsuch claims, in which event <strong>the</strong> Licensee shall not, without obtaining express permissionin advance from <strong>the</strong> Corporation Counsel <strong>of</strong> <strong>the</strong> <strong>City</strong>, raise any defense involving in anyway <strong>the</strong> immunity <strong>of</strong> <strong>the</strong> <strong>City</strong>, or <strong>the</strong> provisions <strong>of</strong> ap.y statutes respecting suits against<strong>the</strong> <strong>City</strong>. The Licensee's liability under this Agreement shall continue after <strong>the</strong>termination <strong>of</strong> it with respect to any ~iability, loss,expense or damage resulting from actsoccurrng prior to termination.5. Nothing herein contained shall be understood or construed to create or grant any thirdparty benefits, rights or property interest unless <strong>the</strong> person claiming such rights isidentified herein and <strong>the</strong> rights claimed are expressly set forth herein.6. The permission to use <strong>the</strong> Premises is not intended to grant permission to use unoccupiedproperty not under <strong>the</strong> jurisdiction <strong>of</strong> <strong>the</strong> <strong>City</strong>, nor is it intended to relieve <strong>the</strong> Licenseefrom its responsibility to procure and maintain in effect all o<strong>the</strong>r requisite permissionsand approvals.7. The entire agreement between <strong>the</strong> <strong>City</strong> and Licensee is contained herein and nomodifications here<strong>of</strong> shall be effective unless in writing, signed by <strong>the</strong> party to becharged herewith.'-8. <strong>City</strong> <strong>of</strong>ficials, <strong>of</strong>ficers, directors, employees or agents shall not be charged personallywith any liability under any term or provision <strong>of</strong> this Agreement or because <strong>of</strong> itsexecution or attempted execution or because <strong>of</strong> any breach or alleged breach <strong>the</strong>re<strong>of</strong>.9. The Licensee's use <strong>of</strong> <strong>the</strong> Premises shall keep all improved and open public streets free,and clear <strong>of</strong> obstructions and shall not interfere with <strong>the</strong>ir use.10. The <strong>City</strong> shall not be responsible for any loss or <strong>the</strong>ft sustained by <strong>the</strong> Licensee during itsuse <strong>of</strong> <strong>the</strong> Premises.11. The Licensee or its contractors shall provide insurance coverage to <strong>the</strong> <strong>City</strong> indemnfying<strong>the</strong> <strong>City</strong> from any liability in connection with <strong>the</strong> Licensee's use <strong>of</strong> <strong>the</strong> Premises.Licensee wil supply <strong>the</strong> <strong>City</strong> with a copy <strong>of</strong> its insurance liability policy. The type and, amount <strong>of</strong> <strong>the</strong> insurance shall be determined by <strong>the</strong> <strong>City</strong>'s Risk Manager. The<strong>City</strong> shallbe named as an insured party. All accidents or injuries to person, or any damages toproperty, occurrng as a result <strong>of</strong> or in connection with <strong>the</strong> Licensee's use <strong>of</strong> <strong>the</strong> Premisesshall be reported immediately to <strong>the</strong> <strong>City</strong> <strong>of</strong> <strong>Jersey</strong> <strong>City</strong>, Division <strong>of</strong> Risk Managementand <strong>the</strong> Office <strong>of</strong> Real Estate as authorized representatives <strong>of</strong> <strong>the</strong> Licensor toge<strong>the</strong>r withall information required by <strong>the</strong> Licensor on prescribed forms to be provided by <strong>the</strong>Licensor.12. The Licensee's use <strong>of</strong> <strong>the</strong> Premises shall be in accordance with all applicable federal,state, county, and <strong>City</strong> laws and regulations including but not limited to health ordinancesand regulations <strong>of</strong> <strong>the</strong> <strong>City</strong> which are applicable to <strong>the</strong> intended use <strong>of</strong> <strong>the</strong> Premise,S by<strong>the</strong> Licensee.13. Alleqtiipment installed or used by <strong>the</strong> Licensee in connection with its use <strong>of</strong> <strong>the</strong> Premises1299063v4
