This Performance Guarantee Agreement Agreement is between Connecticut General Life Insurance
Company and applicable affiliates collectively Connecticut General and Bridg port City BOE
Employer and is effective on July 1 2010 Effective Date
WHEREAS in connection with certain services and programs
that Connecticut General is providing to
Employer for certain employee welfare benefit plans sponsored by Employer the Plans underthe
applicable agreements between the parties individually or collectively the Serviee Agreements andor
Policies Connecticut General and Employer desire to implement certain perfomLance guarantees set forth in
Exhibit A attached hereto according to the terms set forth below
NOW THEREFORE in consideration ofthe mutual promises and covenants contained herein Connecticut
General and Employer hereby agree as follows
Section 1
Term and Termination
1 1 This Agreement is effective on the Effective
Date stated above and shall remain in effect
for one 1 year or if applicable for specific
Performance Guarantees the period oftime
expressly noted for applicable Performance
Guarantees in applicable Exhibit B the
Term
unless terminated sooner upon the
earliest ofthe following dates
1 1 1 As to specific Performance Guarantees the
date when Connecticut General ceases to
administer the Planes run out services
notwithstanding orwhen the applicable
Service andor Agreements Policies are
terminated run out services
notwithstanding or suspended
1 12 The date when any state or other applicable
jurisdiction prohibits the activities ofthe
parties underthis Agreement
1 13 The Effective Date in the event that any
condition precedent listed in Section 3 or in
applicable Exhibit B as to specific
Performance Guarantees is not satisfied
12 This Agreement is not renewable However
Connecticut General agrees to issue new
substantially similar Performance Guarantee
Agreements to Employer to be effective for
Plan Year 2 and Plan Year 3 ofthe ASO
Agreement entered into between Employer
and Connecticut General
Section 2
Definitions
2 1 Additional definitions applicable to specific
Performance Guarantees are listed in
applicable Exhibit B Terms not defined in
this Section in applicable Exhibit B or
otherwise in this Agreement shall be deemed
to reflect the common use industry meaning
2 1 1 Benefit Profile The benefits offered under
the Planes
structure
including plan design and
2 12 Business Days The days ofthe week that
Connecticut General is open to the public for
conducting business
2 13 Employee A person
who is employed by
Employer and covered under the Plan
2 14 Guarantee Period The time frame for
which Performance Guarantees will be
measured which shall be one 1 year from
the Effective Date ofthis Agreement unless
expressly noted otherwise in Exhibit A or
applicable Exhibit B
2 15 Maximum Payment Amount The
maximum amount of Payment Amounts that
Connecticut General shall be obligated to
pay Employer for specific Performance
Guarantees
2 1 6 Payment Amount The amount payable to
Employer as determined by Connecticut
General underthe criteria set forth in this
Agreement ifPerformance Guarantees are
not met For purposes ofthis definition
Payment Amount for Performance
Guarantees shall not exceed the Maximum
Payment Amounts if applicable
