Section 13 Third Party Beneficiaries<br />

This Agreement is solely for the benefit of<br />

Employer and Connecticut General Itshall not<br />

be construed to create any legal relationship<br />

between Connecticut General and any other<br />

party<br />

Section 14 Waivers<br />

No course of dealing or failure ofeither Party to<br />

strictly enforce any term right or condition of<br />

this Agreement shall be construed as a waiver of<br />

such term right or condition Waiver<br />

by either<br />

Party of any default shall not be deemed a<br />

waiver of any<br />

other default<br />

Section 15 Headines<br />

Section 16 Severabilitv<br />

If any provision or any part ofa provision ofthis<br />

Agreement is held invalid or unenforceable<br />

such invalidity or unenforceability shall not<br />

invalidate or render unenforceable any<br />

other<br />

portion ofthis Agreement<br />

Section 17 Force Maieure<br />

Neither party shall be liable for any<br />

failure to<br />

meet any ofthe obligations required<br />

under this<br />

Agreement where such failure to is due<br />

perform to any cause beyond the reasonable control of<br />

such party its employees officers or directors<br />

Such causes include acts of God fires wars<br />

accidents acts of terrorism labor disputes or<br />

shortages and <strong>gov</strong>emmentallaws ordinances<br />

rules or regulations<br />

Section 18 Assienment and Subcontractine<br />

Neither Party may assign any right<br />

interest or<br />

obligation hereunder without the express written<br />

consent ofthe other Party provided however<br />

that Connecticut General may assign any right<br />

interest or responsibility under this Agreement<br />

to its affiliates andor subcontract specific<br />

obligations under tht Agreement provided that<br />

Connecticut General shall not be relieved ofits<br />

obligations under tht Agreement when doing so<br />

Section 19 Notices<br />

all notices or<br />

Except as otherwise provided<br />

other communications hereunder shall be in<br />

writing and shall be deemed to have been duly<br />

made when a delivered in person b delivered<br />

to an<br />

agent such as an overnight or similar<br />

delivery service or c deposited<br />

in the United<br />

States mail postage prepaid<br />
