3 12 Employer does notmake a material change<br />

in Benefit Profiles during the Term that as<br />

reasonably determined by Connecticut<br />

General affects the performance being<br />

measured in the Performance Guarantees<br />

3 13 Connecticut General continuously<br />

administers the services on which the<br />

applicable Performance Guarantees are<br />

based throughout the Term of this<br />

Agreement<br />

3 14 Employer must be an active client for the<br />

type of coverage to which this Agreement<br />

at the time the payment amount<br />

is otherwise due under this agreement<br />

3 1 5 There are at least 200 enrolled Employees as<br />

ofthe Effective Date<br />

3 1 6 This Agreement remains in effect throughout<br />

the Term ofthis Agreement<br />

4 1 Performance Guarantees and the applicable<br />

levels of measurement Payment Amounts<br />

and Maximum Payment Amounts are listed in<br />

Exhibit A Any additional terms conditions<br />

precedent and dl finitions ifapplicable for<br />

specific Performance Guarantee are listed in<br />

applicable Exhibit B In the event of a<br />

conflict between terms in the Agreement in<br />

applicable Exhibit B sh ll control<br />

4 2 Connecticut General will report to Employer<br />

on each Performance Guarantee the<br />

Performance RI ports within the specific<br />

time frame listed in applicable Exhibit B for<br />

each specific PeJformance Guarantee<br />

43 Employer shall notify Connecticut General in<br />

writing within sixty 60 days of receiving the<br />

Performance Report of any dispute<br />

concerning the Performance Report<br />

4 Connecticut General shall pay to Employer<br />

any Payment Amount due underthe<br />

Performance Report after the Guarantee<br />

Period Upon prior written notice to<br />

Employer Connecticut General may offset<br />

the Payment Amount against any payments<br />

owed by Employer to Connecticut General<br />

4 5 In the event that Employer fails to perform<br />

underthe applicable Service Agreements<br />

andor Policies in a way that adversely affects<br />

Connecticut General s ability to perform one<br />

ofthe functions being measured in a<br />
