1.6.14 Other Direct Costs: This category includes travel (outlined in 1.6.13), reproduction, and shipping expenses<br />
associated with training activities and visits to contractor facilities. It could also entail the renting of suitable<br />
training venues and the purchase of authorized materials, equipment, or property.<br />
1.6.15 Data Rights : The Government has unlimited rights to all documents/material produced under this contract.<br />
All documents and materials, to include the source codes of any software, produced under this contract shall be<br />
exclusively Government owned and are the property of the Government. These documents and materials may not be<br />
used or sold by the contractor without written permission from the <strong>Contract</strong>ing Officer. All materials supplied to the<br />
Government shall be the sole property of the Government and may not be used for any other purpose.<br />
1.6.16 Organizational Conflict of Interest: <strong>Contract</strong>or and subcontractor personnel performing work under this<br />
contract may receive, have access to or participate in the development of proprietary or source selection information<br />
(e.g., cost or pricing information, budget information or analyses, specifications or work statements, etc.).<br />
Moreover, it may perform evaluation services which may create a current or subsequent Organizational Conflict of<br />
Interests (OCI) as defined in FAR Subpart 9.5. The <strong>Contract</strong>or shall notify the <strong>Contract</strong>ing Officer immediately<br />
whenever it becomes aware that such access or participation may result in any actual or potential OCI. Furthermore,<br />
the contractor shall promptly submit a plan to the <strong>Contract</strong>ing Officer to either avoid or mitigate any such OCI. The<br />
<strong>Contract</strong>ing Officer will have sole discretion in accepting the <strong>Contract</strong>or’s mitigation plan. In the event the<br />
<strong>Contract</strong>ing Officer unilaterally determines that any such OCI cannot be satisfactorily avoided or mitigated, other<br />
remedies may be taken to prohibit the <strong>Contract</strong>or from participating in subsequent contract requirements related to<br />
OCI.<br />
1.6.16.1 <strong>Contract</strong>ed Advisory and Assistance Services (CAAS). Task orders issued under this contract may require<br />
Advisory & Assistance (A&AS) requirements to provide management and professional support services in<br />
accordance with Federal Acquisition Regulation Part 37.2 and provide broad technical and analytical services,<br />
support and improve policy development, management and administration and to improve the operation of systems.<br />
1.6.17 Phase In /Phase Out Period: Transition periods will be specified in the individual task orders. To minimize<br />
any decreases in productivity and to prevent possibility of a negative impact on services, the contractor shall have<br />
personnel on board during transition periods after an award to ensure a successful transition. A typical transition<br />
period will be 60 days. During the phase in period, the <strong>Contract</strong>or shall become familiar with performance<br />
requirements in order to fully perform all services on the contract start date. During the phase out period, the<br />
contractor shall make all relevant information concerning program and its operations available to the incoming<br />
contractor to ensure the Government does not have an interruption in service support.<br />
2. Definitions And Acronyms:<br />
2.1. Definitions:<br />
2.1.1. CONTRACTOR. A supplier or vendor having a contract to provide specific supplies or service to the<br />
government. The term used in this contract refers to the prime.<br />
2.1.2. CONTRACTING OFFICER. <strong>Contract</strong>ing Officer” means a person with the authority to enter into,<br />
administer, and/or terminate contracts and make related determinations and findings. The term includes certain<br />
authorized representatives of the contracting officer acting within the limits of their authority as delegated by the<br />
contracting officer. “Administrative contracting officer (ACO)’’ refers to a contracting officer who is administering<br />
contracts. The <strong>Contract</strong>ing Officer is the only individual who can legally bind the government.<br />
2.1.3. CONTRACTING OFFICER'S REPRESENTATIVE (COR). <strong>Contract</strong>ing officer’s representative (COR)”<br />
means a individual (US Government employee), including a contracting officer’s technical representative (COTR),<br />
designated and authorized in writing by the contracting officer to perform specific technical or administrative<br />
functions. Such appointment shall be in writing and shall state the scope of authority and limitations. This<br />
individual does NOT have authority to change the terms and conditions of the contract.
