Sebagai perusahaan publik sekaligusgood corporate citizen yang selalu berpedoman pada ketentuandan regulasi yang berlaku di Indonesia, persaingan hanyadilakukan secara sehat dan terbuka mengedepankan prinsip tatakelola perusahaan yang baik. Pada bulan Februari 2011, PengadilanNegeri membatalkan keputusan KPPU tersebut. Selanjutnya,KPPU mengajukan banding atas keputusan Pengadilan Negeritersebut kepada Mahkamah Agung pada bulan Maret 2011 dansaat ini, kasus ini masih berjalan.Selain hal di atas, tidak ada kasus hukum yang material yangmelibatkan Perseroan, para Direktur maupun KomisarisPerseroan.Significant agreements for capital investmentAs of 31 December 2010, the Company had agreements withsuppliers and contractors related to the construction andcompletion of CPO mills, bulking as well as refinery projectsin Kalimantan and Java. Such commitments aggregate toapproximately Rp 113 billion and US$ 15 million.Events after auditor’s reportUp to 8 April 2011, there were no material subsequent events afterthe date of the auditor’s report.Legal casesIn May 2010, the Business Competition Supervisory Commission(“KPPU”) decided that <strong>SMART</strong> and other 19 companies producingcooking oil in Indonesia have breached the Law No 5 Year 1999regarding Prohibition of Monopolistic Practices and UnfairBusiness Competition, particularly Article 4 regarding oligopoly,Article 5 regarding price fixing and Article 11 regarding cartel.<strong>SMART</strong> raised objection on the KPPU’s decision. As a listedcompany and a good corporate citizen that always complieswith the Indonesian laws and regulations, the competition isalways conducted in healthy and fair manner by upholding goodcorporate governance principles.
