12. At all events the UoE should be under its own ownership and not exposed without<br />
protection to any short-term interventions from outside. A foundation should therefore<br />
be set up as a legal structure, the possible alternatives being a "(non-pr<strong>of</strong>it) private<br />
foundation" or a "foundation in accordance with the Act on Foundations and Funds“.<br />
12.1. The founders should at any rate come from three different groups in order to<br />
lend the undertaking the necessary breadth and substance: local and regional<br />
authorities, (Viennese or other) universities and private organisations and<br />
individuals (companies, associations, private persons). The founders contribute<br />
either large sums <strong>of</strong> money or other important resources and are the sponsors <strong>of</strong><br />
the <strong>University</strong> <strong>of</strong> <strong>Excellence</strong>.<br />
12.2. The solution for the foundation must be chosen with a view to ensuring that<br />
financing by private organisations and individuals can be handled as taxeffectively<br />
as possible. Accordingly, a pr<strong>of</strong>essional management team is also to<br />
be provided for within the UoE to build up an endowment and solicit private<br />
donations.<br />
13. The foundation itself, in its turn, would be the sponsoring institution <strong>of</strong> a private<br />
university established under the <strong>University</strong> Accreditation Act or a university<br />
established on the basis <strong>of</strong> separate legislative authorization. It awards the academic<br />
degrees and is the employer <strong>of</strong> the staff.<br />
Management structures and organisation:<br />
14. The founders appoint high-ranking personages and experts to the Board <strong>of</strong> Trustees,<br />
whose competences should be set forth in the Foundation Charter and/or the<br />
Memorandum <strong>of</strong> Association. Whether or not the Head <strong>of</strong> the Scientific Advisory<br />
Board should also sit on the Board <strong>of</strong> Trustees is a matter for discussion.<br />
15. The members <strong>of</strong> the Scientific Advisory Board are renowned foreign scientists. Their<br />
principal tasks are organising evaluations and advising the UoE management on<br />
questions <strong>of</strong> scientific strategy, as well as involvement in the recruitment <strong>of</strong> the faculty<br />
in the UoE's early years.<br />
16. The most important management function is that <strong>of</strong> Scientific Director / President.<br />
He/she will be supported by "Vice-Presidents“, i.e. the Administrative Director and one<br />
to two further Vice-Presidents who are members <strong>of</strong> the faculty.<br />
16.1. The Scientific Director is <strong>of</strong> prime overall importance and will play an<br />
especially important role in the UoE's early years. He/she is to be recruited at a<br />
very early stage the highest international level. His/her functions comprise the<br />
strategic and operative management <strong>of</strong> the UoE in all areas that are not within<br />
the functional competence <strong>of</strong> the Administrative Director.<br />
16.2. All further internal structures, organs and processes are not to be defined in<br />
advance by the Memorandum <strong>of</strong> Association (“Stiftungsurkunde”) but developed<br />
by the UoE itself in line with the principle <strong>of</strong> maximum possible flexibility.<br />
