Venue for these counterclaims is proper in this judicial district pursuant to 28 U.S.C. §§ 1391 and 1400(b). 28. concerning infringement of U.S. Patent No. 7,594,855 (the '"855 patent"). 29. Nanoptix restates and incorporates the allegations contained in paragraphs 1-5 of this counterclaim. 30. Nanoptix is not infringing, and has not infringed, either by direct infringement, contributory infringement, or induced infringement, any claims of the '855 patent. SECOND COUNTERCLAIM (Declaratory Judgment of Invalidity) 31. An actual case or controversy exists between Nanoptix and Plaintiff concerning invalidity of the '855 patent. 32. Nanoptix restates and incorporates the allegations contained in paragraphs 1-5 of this counterclaim. 33.
