UMUM (Lanjutan) 1. GENERAL (Continued)Selanjutnya, Perusahaan melakukanPenawaran Umum Terbatas I (PUT I) padatanggal 27 April 1993 dalam rangka akuisisi52,5% saham PT Bakrie Sumatera PlantationsTbk. Dalam PUT I ini, Perusahaanmenerbitkan 1.080.000 saham biasa atasnama dengan nilai nominal sebesar Rp1.000per saham, yang memiliki hak yang samadengan saham-saham yang telah diterbitkansebelumnya. Saham biasa atas nama dalamPUT I ini ditawarkan dengan harga penawaransebesar Rp6.000 per saham dan seluruhnyadicatatkan di BEJ pada tanggal 4 Juni 1993.Jumlah seluruh saham Perusahaan yangtercatat di bursa sesudah PUT I ini menjadi21.060.000 saham.Berdasarkan persetujuan RUPSLB tanggal19 April 1993, sebagaimana tertuang dalamAkta Notaris Amrul Partomoan Pohan, S.H.,LLM., No. 32 tanggal 19 April 1993,Perusahaan melakukan Penawaran Umum“Obligasi Bakrie & Brothers I Tahun 1993dengan Tingkat Bunga Tetap danMengambang”. Obligasi tersebut ditawarkandengan nilai nominal Rp50.000.000.000 danseluruhnya dicatatkan pada BEJ pada tanggal27 September 1993.Sesuai dengan persetujuan RUPSLB tanggal28 April 1994, Perusahaan melakukanpencatatan 31.590.000 saham dalam bentuksaham bonus di BEJ dan BES masing-masingpada tanggal 22 Juni 1994 dan 24 Juni 1994.Berkenaan dengan pencatatan ini Perusahaanmemberikan hak kepada setiap pemilik2 saham Perusahaan untuk memperoleh3 saham bonus. Saham-saham yangdicatatkan merupakan saham biasa atasnama dengan nilai nominal sebesarRp1.000 per saham. Dengan dicatatkannyasaham-saham ini, maka jumlah sahamPerusahaan yang telah tercatat di bursaseluruhnya menjadi 52.650.000 saham.Subsequently, the Company conducteda Limited Public Offering I (LPO I) onApril 27, 1993 in relation to the acquisition of52.5% ownership of PT Bakrie SumateraPlantations Tbk. In this LPO I, the Companyissued 1,080,000 registered common shareswith a par value of Rp1,000 per share, withthe same rights as the previously issuedshares. Registered common shares in thisLPO I were offered at Rp6,000 per share andlisted on the JSX on June 4, 1993. TheCompany’s total listing on the StockExchange after this LPO I increased to21,060,000 shares.Based on the resolution of EGM datedApril 19, 1993 as notarized by Notarial DeedNo. 32 dated April 19, 1993 of AmrulPartomoan Pohan, S.H., LLM., the Companyconducted a Public Offering of “Bakrie &Brothers I year 1993 Bonds with Fixed andFloating Interest”. The bonds were offered ata nominal value of Rp50,000,000,000 andlisted on the JSX on September 27, 1993.In accordance with the resolution of EGMon April 28, 1994, the Company listed31,590,000 shares in the form of bonusshares on the JSX and SSX on June 22,1994 and June 24, 1994, respectively. Withrespect to this listing, the Company gaveowners of 2 Company shares the right toreceive 3 bonus shares. The listed shareswere registered common shares with parvalue of Rp1,000 per share. After this listing,the total number of Company’s shares thathad been registered on the the StockExchange had increased to 52,650,000shares.13
