30 Verbonden partijen<br />
Identiteit van verbonden partijen<br />
Er is sprake van een relatie tussen verbonden partijen tussen de Groep<br />
en haar dochterondernemingen, geassocieerde deelnemingen en haar<br />
Directie en Raad van Commissarissen.<br />
Transacties met managers op sleutelposities<br />
De Directie van de vennootschap heeft op dit moment zeggenschap<br />
over 97.000 (1,43%) van de stemgerechtigde aandelen in de<br />
vennootschap (6.767.018 aandelen).<br />
De Groep verstrekt aan de Directie naast salaris, een bonus, overige<br />
uitkeringen en draagt bij aan een beschikbare premie pensioenregeling<br />
voor de Chief Executive Officer (CEO) en de Chief Financial Officer<br />
(CFO). De Raad van Commissarissen heeft eind 2009 besloten om<br />
het ‘Optieplan DOCDATA N.V. 2006’ met onmiddellijke ingang te<br />
beëindigen. De onder dit optieplan toegekende opties die nog uitstaan,<br />
blijven overeenkomstig de bepalingen van dit optieplan geldig tot de<br />
expiratiedatum van deze opties. Ter vervanging van het beëindigde<br />
optieplan is onder goedkeuring van de Algemene Vergadering van<br />
Aandeelhouders op 12 mei <strong>2010</strong>, een ‘Performance Share Plan’ (PSP)<br />
ingevoerd. De Raad van Commissarissen kan aandelen aan de Directie<br />
toekennen bij het behalen van lange-termijn doelstellingen op basis<br />
van ‘Total Shareholder Return’ (TSR). De waarde van de jaarlijkse<br />
toekenning aan de Directie is gemaximeerd op 25% van het vaste bruto<br />
jaarsalaris voor de Chief Executive Officer (CEO) en op 15% van het<br />
vaste bruto jaarsalaris voor de Chief Financial Officer (CFO). Het exacte<br />
aantal toe te kennen aandelen onder het PSP wordt jaarlijks bepaald<br />
door de beschikbare waarde, die door de Raad van Commissarissen<br />
is toegekend, te delen door de reële waarde van het aandeel op het<br />
moment van toekenning, dat ligt na vaststelling van de jaarrekening<br />
door de Algemene Vergadering van Aandeelhouders.<br />
In <strong>2010</strong> is onder goedkeuring van de Algemene Vergadering van<br />
Aandeelhouders op 12 mei <strong>2010</strong> een regeling ingevoerd waarmee aan de<br />
Directie rechten op aandelen kunnen worden toegekend bij het behalen<br />
van een door de Raad van Commissarissen te definiëren ‘incremental<br />
performance’.<br />
De bonus die is toegekend door de Raad van Commissarissen aan<br />
de Directie is gebaseerd op de voor het jaar <strong>2010</strong> overeengekomen<br />
bonusregeling. Hierin is bepaald dat de bonus voor de CEO maximaal<br />
100% en voor de CFO maximaal 75% van het bruto basisjaarsalaris zal<br />
bedragen. De Raad van Commissarissen heeft besloten om de CEO<br />
voor het jaar <strong>2010</strong> een bonus van 62,9% toe te kennen en de CFO<br />
voor het jaar <strong>2010</strong> een bonus van 49,6% toe te kennen, voor beiden<br />
op basis van het vaste jaarsalaris. Deze bonus bestaat uit de volgende<br />
componenten:<br />
• een korte-termijn toekenning van een bonus in contanten van<br />
35%-punt voor de CEO en 25%-punt voor de CFO, gerelateerd aan<br />
het bereiken van de maximale bonusstaffel, welke is gerelateerd<br />
aan het realiseren van het door de Raad van Commissarissen<br />

The Group has a related party relationship with its subsidiaries,<br />
associates and with its Management Board and Supervisory Board.<br />
Transactions with key management personnel<br />
At this moment, the Management Board of the Company controls<br />
97,000 (1.43%) of the voting shares of the Company (6,767,018 shares).<br />
In addition to salary, the Group also provides the Management Board<br />
a bonus and other items and contributes to a post-employment<br />
defined contribution plan for the Chief Executive Officer (CEO) and<br />
the Chief Financial Officer (CFO). At the end of 2009, the Supervisory<br />
Board decided to terminate the ‘Option Plan DOCDATA N.V. 2006’,<br />
effective immediately. The outstanding options granted under this<br />
option plan remain valid till their expiration date, in accordance<br />
with the stipulations of this option plan. The General Meeting of<br />
Shareholders approved on 12 May <strong>2010</strong> a ‘Performance Share Plan’<br />
(PSP) as a replacement of the terminated share option program. The<br />
Supervisory Board is authorised to grant shares to the Management<br />
Board upon realisation of long-term goals based on ‘Total Shareholder<br />
Return’ (TSR). The value of the annual grant to the Management<br />
Board is maximised at 25% of the fixed gross annual salary for the Chief<br />
Executive Officer (CEO) and at 15% of the fixed gross annual salary for<br />
the Chief Financial Officer (CFO). The exact number of shares under<br />
the PSP to be granted will be calculated yearley by dividing the available<br />
value, as granted by the Supervisory Board, by the fair value of the share<br />
at the moment of the grant, which is after the adoption of the financial<br />
statements by the General Meeting of Shareholders.<br />
In <strong>2010</strong>, approved by the General Meeting of Shareholders on<br />
12 May <strong>2010</strong>, a plan has been introduced, with which rights to shares<br />
can be granted to the Management Board upon the realisation of an<br />
incremental performance to be defined by the Supervisory Board.<br />
The bonus granted by the Supervisory Board to the Management Board<br />
is based on the bonus agreement for the year <strong>2010</strong>. This agreement<br />
states that that the bonus for the CEO will not exceed 100% and for<br />
the CFO 75% of the gross annual basis salary. The Supervisory Board<br />
decided to award the CEO a bonus of 62.9% and award the CFO a<br />
bonus of 49.6%, for both based on the fixed annual basis salary. This<br />
bonus consists of the following components:<br />
• a short-term grant of a cash bonus of 35% point for the CEO and<br />
25% point for the CFO, related to achieving the maximum bonus<br />
scale linked to the realisation of the (consolidated) EBIT-budget for<br />
<strong>2010</strong> and approved by the Supervisory Board and related to 11.25%<br />
point for both the CEO and CFO for the partly achievement (75%) of<br />
personal targets;<br />
