Corporate Governance Code<br />
De Nederlandse Corporate Governance Code is voor de Directie de<br />
basis voor de Corporate Governance structuur van de onderneming en<br />
optimale transparantie. In december 2008 heeft de Commissie Frijns<br />
de Code uit 2003 aangepast en voorzien van gewijzigde en nieuwe<br />
principes en best practice bepalingen. Deze nieuwe Code is in werking<br />
vanaf het boekjaar 2009 en de Directie heeft de Corporate Governance<br />
structuur onder toezicht van de Raad van Commissarissen in lijn<br />
gebracht met de nieuwe Code in 2009.<br />
Op de corporate website zijn de volgende documenten beschikbaar:<br />
• de statuten;<br />
• het reglement voor de Directie;<br />
• het reglement voor de Raad van Commissarissen, inclusief de<br />
profielschets van de omvang en de samenstelling van de Raad van<br />
Commissarissen;<br />
• de gedragscode inclusief klokkenluidersregeling;<br />
• het reglement inzake voorwetenschap;<br />
• de notulen van aandeelhoudersvergaderingen;<br />
• beleid inzake bilaterale contacten.<br />
Zowel voor de Directie als voor de Raad van Commissarissen geldt dat<br />
er geen sprake is van tegenstrijdige belangen met de vennootschap,<br />
waarbij het volgende in beschouwing dient te worden genomen:<br />
• de heer Lindenbergh, commissaris van de vennootschap, heeft een<br />
belang van 10,59% in DOCDATA N.V. en is daarom volgens de<br />
Nederlandse Corporate Governance Code niet onafhankelijk;<br />
• de Directie bezit aandelen en opties op aandelen van de<br />
vennootschap, zoals vermeld in onderdeel 21 ‘Personeelsbeloningen’<br />
en onderdeel 30 ‘Verbonden partijen’ van de toelichting op de<br />
geconsolideerde jaarrekening.<br />
In <strong>2010</strong> zijn er geen transacties met een mogelijk tegenstrijdig belang<br />
geweest met de Directie of de commissarissen. Tevens zijn er geen<br />
transacties met een mogelijk tegenstrijdig belang geweest met houders<br />
met ten minste 10% van de aandelen van de vennootschap.<br />
Er wordt op een beperkt aantal punten afgeweken van de Nederlandse<br />
Corporate Governance Code. De belangrijkste afwijkingen zijn:<br />
• Uit overwegingen van privacy wordt niet voldaan aan de best<br />
practice bepaling (III.6.5) inzake het opstellen van een reglement<br />
voor het effectenbezit en de effectentransacties van commissarissen<br />
en bestuurders van andere effecten dan door DOCDATA<br />
uitgegeven. De Raad van Commissarissen en de Directie hanteren<br />
als vanzelfsprekend het uitgangspunt dat zij elke vorm van<br />
belange<strong>nv</strong>erstrengeling vermijden.<br />
• Best practice bepaling V.3.3 geeft aan dat de Audit Commissie<br />
jaarlijks dient te evalueren of er behoefte bestaat aan een interne<br />
auditfunctie en dient hierover een voorstel richting de Raad van<br />
Commissarissen te doen. Bij de i<strong>nv</strong>oering van de Code Tabaksblat<br />
heeft de Raad van Commissarissen besloten dat uit economische<br />
overwegingen het aanstellen van een aparte interne audit<br />
functionaris niet gerechtvaardigd kan worden gezien de beperkte<br />
omvang van de onderneming. De Raad van Commissarissen voert<br />
een jaarlijkse evaluatie uit.<br />
Corporate Governance Code<br />
The Management Board follows the Dutch Corporate Governance<br />
Code as the basis for the Corporate Governance structure of the<br />
company and optimal transparency. In December 2008, the Frijns<br />
Committee adjusted the Corporate Governance Code of 2003 and<br />
provided for new principles en best practice provisions. This new Code<br />
is effective as from financial year 2009 and the Management Board<br />
aligned the Corporate Governance structure with the new Code in<br />
2009, under supervision of the Supervisory Board.<br />
The following documents are available on the company’s corporate<br />
website:<br />
• the Articles of Association;<br />
• the regulations for the Management Board;<br />
• the regulation for the Supervisory Board, including the profile of<br />
size and composition of the Supervisory Board;<br />
• the code of conduct, including the whistleblower’s code;<br />
• the insider trading regulations;<br />
• the minutes of the shareholder meetings;<br />
• policy on bilateral contacts.<br />
Neither the Management Board nor the Supervisory Board has any<br />
conflict of interests with the Company, taking note of the following:<br />
• Mr Lindenbergh, a member of the Supervisory Board of the<br />
company, has a 10.59% interest in DOCDATA N.V., which qualifies<br />
him as ‘not independent’ in terms of the Dutch Corporate<br />
Governance Code;<br />
• the Management Board holds shares and options on shares in the<br />
company, as set out in section 21 ‘Employee benefits’ and section<br />
30 ‘Related parties’ of the notes to the consolidated financial<br />
statements.<br />
There was no transaction with a possible conflict of interest with the<br />
members of the Management Board or the Supervisory Board in <strong>2010</strong>.<br />
Also, there were no transactions with a possible conflict of interest with<br />
holders of at least 10% of the shares of the Company.<br />
The Company deviates from the Dutch Corporate Governance Code on<br />
a limited number of items. The main deviations are:<br />
• In consideration of privacy arguments, DOCDATA does not comply<br />
with best-practice provision (III.6.5) that calls for rules to be<br />
drawn up applying to members of the Supervisory Board and the<br />
Management Board for holdings of and transactions in securities<br />
other than those issued by DOCDATA. The Supervisory Board and<br />
the Management Board accept as self-evident the basic principle<br />
that they will avoid any kind of conflict of interest.<br />
• Best-practice provision V.3.3 indicates that the Audit Committee<br />
shall evaluate the need for an internal audit function annually and<br />
submit a proposal about this to the Supervisory Board. At the time<br />
of the implementation of the Tabaksblat Code the Supervisory<br />
Board decided that on economic grounds the appointment of a<br />
separate internal audit officer cannot be justified given the limited<br />
size of the company. The Supervisory Board performs an annual<br />
assessment.<br />
