<strong>Creation</strong> Konzerns; ausgenommen hiervon sind Bankkonten <strong>der</strong> beiden Konzern-<br />

Tochtergesellschaften <strong>Zapf</strong> <strong>Creation</strong> (France) S.à.r.l. und <strong>Zapf</strong> <strong>Creation</strong> (U.S.) Inc.<br />

Die im Folgenden benannten Sicherheiten, die im Rahmen <strong>der</strong> bisherigen Kreditvereinbarung<br />

bestanden, wurden freigegeben, sofern sie nicht für Zwecke des<br />

neuen Konsortialkreditvertrags verwendet werden:<br />

• Abtretung sämtlicher For<strong>der</strong>ungen aus Warenlieferungen und Leistungen<br />

<strong>der</strong> folgenden Unternehmen: <strong>Zapf</strong> <strong>Creation</strong> <strong>AG</strong>, <strong>Zapf</strong> <strong>Creation</strong> (Central Europe)<br />

GmbH & Co. KG, <strong>Zapf</strong> <strong>Creation</strong> Logistics GmbH & Co. KG, <strong>Zapf</strong><br />

<strong>Creation</strong> (U.K.) Ltd., <strong>Zapf</strong> <strong>Creation</strong> (España) S.L., <strong>Zapf</strong> <strong>Creation</strong> (U.S.) Inc.<br />

und <strong>Zapf</strong> <strong>Creation</strong> (H.K.) Ltd.<br />

• Raum-Sicherungsübereignung des Umlaufvermögens o<strong>der</strong> Bestellung eines<br />

Sicherungsrechtes am Umlaufvermögen hinsichtlich sämtlicher Lager<br />

und Betriebsstätten <strong>der</strong> folgenden Unternehmen: <strong>Zapf</strong> <strong>Creation</strong> <strong>AG</strong>, <strong>Zapf</strong><br />

<strong>Creation</strong> (Central Europe) GmbH & Co. KG, <strong>Zapf</strong> <strong>Creation</strong> Logistics GmbH<br />

& Co. KG, <strong>Zapf</strong> <strong>Creation</strong> (H.K.) Ltd., <strong>Zapf</strong> <strong>Creation</strong> (U.S.) Inc. und <strong>Zapf</strong><br />

<strong>Creation</strong> (U.K.) Ltd.<br />

• Raum-Sicherungsübereignung des gesamten Anlagevermögens hinsichtlich<br />

sämtlicher Lager und Betriebsstätten <strong>der</strong> folgenden Unternehmen: <strong>Zapf</strong><br />

<strong>Creation</strong> <strong>AG</strong>, <strong>Zapf</strong> <strong>Creation</strong> (Central Europe) GmbH & Co. KG und <strong>Zapf</strong><br />

<strong>Creation</strong> Logistics GmbH & Co. KG<br />

• Negativ-/Positiverklärungen über eine Bestellung eines Sicherungsrechtes<br />

am Umlaufvermögen hinsichtlich sämtlicher Lager und Betriebsstätten <strong>der</strong><br />

folgenden Unternehmen: <strong>Zapf</strong> <strong>Creation</strong> (France) S.à.r.l. und <strong>Zapf</strong> <strong>Creation</strong><br />

(España) S.L.<br />

• Negativ-/Positiverklärungen über eine Bestellung eines Sicherungsrechtes<br />

am Anlagevermögen hinsichtlich sämtlicher Lager und Betriebsstätten <strong>der</strong><br />

folgenden Unternehmen: <strong>Zapf</strong> <strong>Creation</strong> (U.K.) Ltd., <strong>Zapf</strong> <strong>Creation</strong> (France)<br />

S.à.r.l., <strong>Zapf</strong> <strong>Creation</strong> (España) S.L., <strong>Zapf</strong> <strong>Creation</strong> (H.K.) Ltd. und <strong>Zapf</strong><br />

<strong>Creation</strong> (U.S.) Inc.<br />

• Verpfändung <strong>der</strong> Geschäftsanteile <strong>der</strong> <strong>Zapf</strong> <strong>Creation</strong> <strong>AG</strong> an folgenden Unternehmen:<br />

<strong>Zapf</strong> <strong>Creation</strong> (Central Europe) GmbH & Co. KG, <strong>Zapf</strong> <strong>Creation</strong><br />

Logistics GmbH & Co. KG, <strong>Zapf</strong> <strong>Creation</strong> (U.K.) Ltd., <strong>Zapf</strong> <strong>Creation</strong> (France)<br />

S.à.r.l., <strong>Zapf</strong> <strong>Creation</strong> (España) S.L., <strong>Zapf</strong> <strong>Creation</strong> (H.K.) Ltd. und <strong>Zapf</strong><br />

<strong>Creation</strong> (U.S.) Inc.<br />

• Verpfändung sämtlicher Rechte an sämtlichen gegenwärtigen und künftigen<br />

Marken <strong>der</strong> <strong>Zapf</strong> <strong>Creation</strong> <strong>AG</strong><br />

• Verpfändung aller Kontoguthaben <strong>der</strong> <strong>Zapf</strong> <strong>Creation</strong> (Central Europe)<br />

GmbH & Co. KG und <strong>Zapf</strong> <strong>Creation</strong> Logistics GmbH & Co. KG (einschließlich<br />

mit Banken, die nicht am Sicherheitenpool beteiligt sind)<br />

• Grundschulden in einer Gesamthöhe von 4.601.626,92 € auf dem Grundeigentum<br />

<strong>der</strong> <strong>Zapf</strong> <strong>Creation</strong> Logistics GmbH & Co. KG, eingetragen im<br />

Grundbuch beim Amtsgericht Coburg für Mönchröden in Abteilung III unter<br />

den laufenden Nummern 1-3.<br />
