free transfers. Similarly, transfers made under our 6 or 12 Month DCA Program and transfers made pursuant to a formula used<br />

with an optional benefit are not subject to the Transfer Fee and are not counted toward the twenty free transfers. Transfers made<br />

through any electronic method or program we specify are not counted toward the twenty free transfers. The transfer fee is deducted<br />

pro rata from all Sub-accounts in which you maintain Account Value immediately subsequent to the transfer.<br />

Annual Maintenance Fee: Prior to Annuitization, we deduct an Annual Maintenance Fee. The Annual Maintenance Fee is equal<br />

to $50 or 2% of your Unadjusted Account Value, whichever is less. This fee will be deducted annually on the anniversary of the<br />

Issue Date of your Annuity or, if you surrender your Annuity during the Annuity Year, the fee is deducted at the time of surrender<br />

unless the surrender is taken within 30 days of most recently assessed Annual Maintenance Fee. The fee is taken out first from the<br />

Sub-accounts pro rata, and then from the MVA Options (if the amount in the Sub-accounts is insufficient to pay the fee). The<br />

Annual Maintenance Fee is only deducted if the sum of the Purchase Payments at the time the fee is deducted is less than<br />

$100,000. We do not impose the Annual Maintenance Fee upon Annuitization (unless Annuitization occurs on an Annuity<br />

anniversary), or the payment of a Death Benefit. For Beneficiaries that elect the Beneficiary Continuation Option, the Annual<br />

Maintenance Fee is the lesser of $30 or 2% of Unadjusted Account Value and is only assessed if the Unadjusted Account Value is<br />

less than $25,000 at the time the fee is assessed. The amount of the Annual Maintenance Fee may differ in certain states.<br />

Tax Charge: Some states and some municipalities charge premium taxes or similar taxes on annuities that we are required to pay.<br />

The amount of tax will vary from jurisdiction to jurisdiction and is subject to change. We reserve the right to deduct the tax either<br />

when Purchase Payments are received, upon surrender or upon Annuitization. If deducted upon Annuitization, we would deduct<br />

the tax from your Unadjusted Account Value. The Tax Charge is designed to approximate the taxes that we are required to pay and<br />

is assessed as a percentage of Purchase Payments, Surrender Value, or Account Value as applicable. The Tax Charge currently<br />

ranges up to 3.5%. We may assess a charge against the Sub-accounts and the MVA Options equal to any taxes which may be<br />

imposed upon the Separate Accounts. “Surrender Value” refers to the Account Value (which includes the effect of any MVA) less<br />

any applicable CDSC, any applicable tax charges, any charges assessable as a deduction from the Account Value for any optional<br />

benefits provided by rider or endorsement, and any Annual Maintenance Fee.<br />

We will pay company income taxes on the taxable corporate earnings created by this Annuity. While we may consider company<br />

income taxes when pricing our products, we do not currently include such income taxes in the tax charges you pay under the<br />

Annuity. We will periodically review the issue of charging for these taxes, and we may charge for these taxes in the future. We<br />

reserve the right to impose a charge for federal income taxes if we determine, in our sole discretion, that we will incur a tax as a<br />

result of the operation of the Separate Account.<br />

In calculating our corporate income tax liability, we may derive certain corporate income tax benefits associated with the<br />

investment of company assets, including Separate Account assets, which are treated as company assets under applicable income tax<br />

law. These benefits reduce our overall corporate income tax liability. We do not pass these tax benefits through to holders of the<br />

Separate Account annuity contracts because (i) the contract Owners are not the Owners of the assets generating these benefits<br />

under applicable income tax law and (ii) we do not currently include company income taxes in the tax charges you pay under<br />

the Annuity.<br />

Insurance Charge: We deduct an Insurance Charge daily based on the annualized rate shown in the “Summary of Contract Fees<br />

and Charges.” The charge is assessed against the assets allocated to the Sub-accounts. The Insurance Charge is the combination of<br />

the Mortality & Expense Risk Charge and the Administration Charge. The Insurance Charge is intended to compensate Pruco Life<br />

for providing the insurance benefits under each Annuity, including each Annuity’s basic Death Benefit that provides guaranteed<br />

benefits to your Beneficiaries even if your Account Value declines, and the risk that persons we guarantee annuity payments to will<br />

live longer than our assumptions. The charge also covers administrative costs associated with providing the Annuity benefits,<br />

including preparation of the contract and prospectus, confirmation statements, annual account statements and annual reports, legal<br />

and accounting fees as well as various related expenses. Finally, the charge covers the risk that our assumptions about the mortality<br />

risks and expenses under each Annuity are incorrect and that we have agreed not to increase these charges over time despite our<br />

actual costs. Each Annuity has a different Insurance Charge during the first 9 Annuity Years. However, for the L Series, X Series,<br />

and C Series, on the Valuation Day immediately following the 9 th Annuity Anniversary, the Insurance Charge drops to 1.30%<br />

annually (the B Series Insurance Charge is a constant 1.30%).<br />

Optional Benefits for which we assess a charge: If you elect to purchase optional benefits, we will deduct an additional charge.<br />

For some optional benefits, the charge is assessed against your Account Value allocated to the Sub-accounts. These charges are<br />

included in the daily calculation of the Unit price for each Sub-account. For certain other optional benefits, such as Highest Daily<br />

Lifetime Income 2.0, the charge is assessed against the greater of the Unadjusted Account Value and the Protected Withdrawal<br />

Value and is taken out of the Sub-accounts quarterly. Please refer to the section entitled “Summary of Contract Fees and Charges”<br />

for the list of charges for each optional benefit.<br />
