1. The Annuity and certain riders, endorsements or schedules attached to it have been submitted to the Internal Revenue Service<br />

(“IRS”) for approval as to form for use as an Individual <strong>Retirement</strong> Annuity as described in Section 408(b) of the Internal<br />

Revenue Code (“Code” and as a Roth Individual <strong>Retirement</strong> Annuity as described in Section 408A of the Code. The IRS<br />

approval is a determination as to form only and does not represent a determination of the merits of the Annuity. Approval of<br />

the Annuity by the IRS has either been received or is pending.<br />

2. Within seven (7) days after you receive your Annuity, you may cancel it for a refund by delivering or mailing it to the<br />

representative through whom you bought it or to the <strong>Prudential</strong> Annuity Service Center at the address indicated on your IRA<br />

Disclosure Statement or Roth IRA Disclosure Statement, as applicable. The notice of cancellation shall be deemed mailed on<br />

the date of the postmark (or if sent by certified or registered mail, the date of certification or registration) if it is deposited in<br />

the mail in the United States in an envelope, or other appropriate wrapper, first class postage prepaid, properly addressed. The<br />

amount of the refund will equal the greater of (1) the Purchase Payment (without regard to sales commissions (if any),<br />

administrative expenses or fluctuation in market value) or (2) the current Account Value of the Annuity as of the Valuation<br />

Day the refund request is received at our Office (without regard to sales commissions (if any) or administrative expenses).<br />

After seven (7) days, the terms of your right to cancel will revert back to the terms of the Right to Cancel provision of your<br />

Annuity. Please refer to the Right to Cancel provision of your Annuity for additional information.<br />

3. Key financial information is fully disclosed in the <strong>Prudential</strong> <strong>Premier</strong> <strong>Retirement</strong> <strong>Variable</strong> Annuity Series prospectus. This<br />

includes all charges, which may be applied to your interest in determining the net amount available to you under the Annuity,<br />

and how those charges are computed; and how annual earnings are computed and allocated. This includes, but is not limited<br />

to, information on Annuity and variable investment option expenses — such as insurance charges and portfolio management<br />

fees, which affect your Account Value. The following is a summary of some of the charges and expenses related to the<br />

<strong>Prudential</strong> <strong>Premier</strong> <strong>Retirement</strong> Annuity.<br />

No charges are deducted from your Purchase Payments when payments are made. Please note, in certain jurisdictions premium<br />

taxes may be required to be deducted from your Purchase Payments. Please consult the prospectus for more details.<br />

Each Purchase Payment may be subject to a contingent deferred sales charge (“CDSC”). The amount of the CDSC will depend<br />

on the Purchase Payments withdrawn and the number of years that have passed since the Purchase Payment was made. CDSCs<br />

apply to each Purchase Payment and are determined using the following percentages, which are multiplied by the amount of<br />

the Purchase Payment being liquidated:<br />
