On November 18 and 19, <strong>2005</strong>, the Actionaria Trade<br />
Show once again gave TOTAL the opportunity to demonstrate<br />
its <strong>com</strong>mitment to individual shareholders. The TOTAL team<br />
wel<strong>com</strong>ed over 4,300 people at its booth, 26% more than<br />
in the previous year. In addition, more than 1,300 individual<br />
shareholders were present in the Grand Amphitheater of<br />
the Convention Center at Porte Maillot, where the Chairman<br />
answered questions on various current issues: a 20-year outlook<br />
for the Group, access to resources, research and development<br />
policy, social and environmental responsibility, etc.<br />
In <strong>2005</strong>, TOTAL continued its schedule of information sessions<br />
for individual shareholders in Paris, Strasbourg, Montpellier<br />
and Bordeaux. A total of more than 2,500 people attended the<br />
four conferences. The cities of Lyon, Marseille, Nantes, Brussels<br />
and Biarritz are already scheduled for 2006.<br />
In <strong>2005</strong>, the Consultative Shareholders Committee<br />
specifically provided clarification on <strong>com</strong>munication tools<br />
used for the Arkema spin-off and on the new IFRS rules. The<br />
Committee also worked on the content of reference material<br />
distributed during individual shareholders’ meetings, notices of<br />
the Shareholders’ Meeting, financial notices, the “Shareholder<br />
Notebook” and the “Shareholders’ Circle”. The Committee<br />
team renewed its members at the end of <strong>2005</strong>. Twelve new<br />
members were selected by recruitment centers from more than<br />
200 candidates. On March 15, 2006, the handover to the new<br />
Committee became effective in the presence of the CEO of<br />
TOTAL.<br />
In <strong>2005</strong>, 28 events, versus 18 in 2004, reserved for members<br />
of the Shareholders’ Circle were scheduled, and some<br />
3,100 individuals, versus 1,100 in 2004, took advantage of this<br />
opportunity. This Circle is open to shareholders with at least<br />
30 bearer shares or one registered share. A third of the events<br />
involved visits to industrial sites, another third were cultural visits<br />
sponsored by the Group, and the last third were events carried<br />
out under the auspices of the TOTAL Foundation.<br />
So, close to 13,000 individual shareholders were met by TOTAL<br />
in <strong>2005</strong>.<br />
Registered status<br />
TOTAL shares, which are generally bearer instruments, may be<br />
registered. In this case shareholders are identified by TOTAL S.A.,<br />
in its capacity as the issuer, or by its agent, BNP Paribas Securities<br />
Services, which is responsible for the registration of shareholders.<br />

Administered Registered Shares: Shares are registered with the<br />
issuing Company through BNP Paribas Securities Services, but<br />
the holder’s financial intermediary continues to administer them<br />
with regards to sales, purchases, coupons, shareholder meeting<br />
notices, etc..<br />
Pure registered shares: The issuing Company retains and<br />
directly administers the shares on behalf of the holder through<br />
BNP Paribas Securities Services which administers the sales,<br />
purchases, coupons, shareholder meeting notices, etc. so that<br />
the shareholder does not need to appoint a financial intermediary.<br />
This form of registration is not very <strong>com</strong>patible with the<br />
registration of shares in a PEA given the applicable administrative<br />
procedures.<br />

The advantages of pure registered shares include:<br />

amount of the transaction, with no minimum amount;<br />

Communication with shareholders<br />
double voting rights if shares are held continuously for two<br />
consecutive years (page 158);<br />
<strong>com</strong>plete information about TOTAL: the shareholder receives at<br />
home all information published by the Group for its shareholders;<br />
• internet access to the shareholders’ account;<br />
• the ability to join the TOTAL Shareholders’ Circle with one share.<br />
To convert TOTAL shares to pure registered shares, just fill out<br />
the form that can be obtained on request from the Individual<br />
Shareholder Relation Department and send it to the financial<br />
intermediary.<br />
