34. Compensation for the administration
and management bodies
The aggregate amount paid directly or indirectly by the French
and foreign affiliates of the Group as compensation to the executive
officers of TOTAL (the members of the Management Committee
and the Treasurer) was 18.8 million of euros in 2005 (30 persons),
compared with 16.9 million of euros in 2004 (29 persons).
The compensation allocated to members of the Board of Directors
for directors’ fees amounted to 0.84 million euros in 2005, pursuant
to the resolution of the Shareholders’ Meeting of May 14, 2004.

The expense booked for share-based payments to the principal
executives of the Group was 13 million of euros in 2005.
The benefits provided for the main executives include
indemnities paid when retiring and supplementary pension
schemes that represent an obligation of 108.9 million euros as
of December 31, 2005. The related pension cost amounted to
9.2 million euros in 2005.
