2.4.1 Company may provide items/equipment to Contractor in exceptional cases<br />
only and not as a routine matter. In the event Company decides to provide<br />
any items/equipment to Contractor on rental basis for commencement of<br />
operation or during operation, the following shall be applicable :<br />
i) Contractor shall deposit the assessed value of the items/equipment<br />
either in cash or in the form of a Bank Guarantee to Company in<br />
advance before taking delivery of the items/equipment from<br />
Company. However, in case of an emergent situation, OIL may<br />
consider to accept the assessed value in Bank Guarantee or in cash<br />
within 7(seven) days of issue of the items/equipment.<br />

Items/equipments will be rented out to Contractor for a maximum<br />
period of 3(three) months and the same returned by Contractor to<br />
Company within a specific date to be specified by Contractor.<br />
Rental charges for first three months would be evaluated as per Para<br />
2.4 above and taking cognizance of the present market trend.<br />
In the event the rented items/equipment are not returned by<br />
Contractors within the specified period of three months, the rental<br />
charges would increase by 1.5 times. For next three months, rental<br />
charges would be 1.5 times the rental charges of the first three<br />
months. Rental charges in any quarter would be 1.5 times the rental<br />
charges of the previous quarter.<br />
v) Deduction for short-supplied items/equipment shall also be made as<br />
per Para (iii) and (iv) above.<br />
2.4.2 In case any items/equipment are issued to Contractor on “outright sale”<br />
basis, the deduction shall be made as calculated by Company based on<br />
Company‟s determined cost, which shall be treated as final, basis of which<br />
shall provided to the Contractor.<br />
3.0 CONTRACTOR’S PERSONNEL<br />
3.1 Except as otherwise hereinafter provided, the selection, replacement and<br />
deployment, Contractor shall determine remuneration of Contractor‟s<br />
personnel. Such employees shall be employees solely of Contractor.<br />
Contractor shall ensure that its personnel will be competent and efficient.<br />
However, the Contractor shall provide details of experience, qualification<br />
and other relevant data of the personnel to be deployed for scrutiny and<br />
clearance by the Company before the actual deployment. The Contractor<br />
shall not deploy its personnel unless cleared by the Company.<br />
3.2 The Contractor shall nominate one of its personnel as Contractor‟s<br />
representative who shall be in charge of Contractor‟s personnel and who<br />
shall have full authority to resolve all day to day maters, which arise at the<br />
site.<br />
3.3 The Contractor shall have a base office at Base camp and at Duliajan to be<br />
manned by competent personnel, who shall act for the Contractor in all<br />
matters relating to Contractor‟s obligations under the contract.
