In case, no demobilization charges are payable, the documents mentioned<br />

above will have to be submitted by the Contractor before release of the final<br />

payment by the Company.<br />

10.0 LOSS OR DAMAGE TO HOLE:<br />

10.1 OIL shall be liable for the cost of regaining control of any wild well, blowout,<br />

as well as the cost of removal of debris, and indemnify Contractor.<br />

10.2 In the event, the well is damaged by dropping of any tool/tubing/tubular<br />

/fish or any reason of willful acts or Contractor‟s gross negligence or other<br />

legal fault, Contractors liability shall be to carry out the operations as<br />

required for completion of the well to the reasonable satisfaction of<br />

Company at Contractor‟s cost. The fishing rate will be payable, in the event<br />

of Contractor dropping any tool/tubing/tubular/fish during the operation.<br />

However, the damaged to well is caused due to any reason of willful acts or<br />

Contractor‟s gross negligence or other legal fault, no rate will be payable<br />

during the period.<br />

10.3 DAMAGE OR LOSS OF THE WORK OVER UNIT:<br />

a) The Contractor shall at all times be solely responsible for any damage to or<br />

loss or destruction of the Work over Unit and its other property irrespective<br />

of how such loss, damage or destruction is caused, and even if caused by<br />

the negligence of the Company and/or his servants, agents, nominees,<br />

assignees, Contractors and subcontractor, and Contractor shall hold<br />

harmless and indemnify the Company from and against any expenses, loss<br />

or claim related to or resulting from such loss, damages or destruction.<br />

b) If the Work over Unit is declared to be a total loss and/or construed to be<br />

total loss, as determined by the applicable insurance coverage, this<br />

contract shall terminate in respect of the Work over unit(s) as of the<br />

occurrence of the event causing such loss and each party shall thereupon<br />

be released of all further obligations hereunder in respect of that Work over<br />

unit(s), except for its payment of monies then due or liabilities to be<br />

charged in respect of work already done under this contract in respect of<br />

that Work over unit(s).<br />

10.4 LOSS OR DAMAGE OF CONTRACTOR’S WORK OVER UNIT OR<br />

SUBSURFACE EQUIPMENT<br />

a) Except as otherwise specifically provided in the contract, any damage<br />

to or loss, of the Drilling/Work over Unit and/or subsurface<br />

tools/equipment regardless of the cause or reason for said loss, shall<br />

be the loss of the Contractor, its underwriters or insurers. Contractor<br />

indemnifies OIL, its Co-licensees and its and their affiliates<br />

Companies, Agents, employees, invitees, servants, their underwriters<br />

or insurers (other than Contractor‟s) and their employees, agent any<br />

claim whatsoever or responsibility for any damage to or loss of the<br />

Drilling/ Work over Unit or any other equipment or property of<br />

Contractor or Contractor‟s sub-Contractors furnished or intended for<br />

use in the operations herein undertaken.
