RISL: RFP FOR SETTING UP OF VIDEO CONFERENCE SOLUTION IN RAJASTHAN (BEFORE PRE-BID)23-Aug-13either party of any breach of Contract operate as waiver of any subsequent orcontinuing breach of Contract.e) Any waiver of a party’s rights, powers, or remedies under the Contract must be inwriting, dated, and signed by an authorized representative of the party granting suchwaiver, and must specify the right and the extent to which it is being waived.f) Severability: If any provision or condition of the Contract is prohibited or renderedinvalid or unenforceable, such prohibition, invalidity or unenforceability shall notaffect the validity or enforceability of any other provisions and conditions of theContract.6.3. Languagea) The Contract as well as all correspondence and documents relating to the Contractexchanged by the successful/ selected bidder and the Purchaser, shall be writtenin English language only. Supporting documents and printed literature that are partof the Contract may be in another language provided they are accompanied by anaccurate translation of the relevant passages in the language specified in thespecial conditions of the contract, in which case, for purposes of interpretation ofthe Contract, this translation shall govern.b) The successful/ selected bidder shall bear all costs of translation to the governinglanguage and all risks of the accuracy of such translation.6.4. Eligible Goods and Related Servicesa) For purposes of this Clause, the term “goods” includes commodities, raw material,machinery, equipment, and industrial plants; and “related services” includesservices such as insurance, transportation, supply, installation, integration, testing,commissioning, training, and initial maintenance.b) All articles/ goods being bid, other than those marked in the Bill of Material (BoM)should be the ones which are produced in volume and are used by a large numberof users in India/ abroad. All products quoted by the successful/ selected biddermust be associated with specific make and model number, item code and namesand with printed literature describing configuration and functionality. RISL: RFP FOR SETTING UP OF VIDEO CONFERENCE SOLUTION IN RAJASTHAN (BEFORE PRE-BID)23-Aug-13from the printed specifications should be clearly mentioned in the offer documentby the bidder/ supplier.c) The OEM/ Vendor of the quoted product must have its own registered spares depotin India having adequate inventory of the equipment being quoted for providing thenecessary spares to meet warranty clause.d) The OEM/ Vendor of the quoted product should also have its direct representationin India in terms of registered office for at least past 4 years. The presence throughany Distribution/ System Integration partner agreement will not be accepted.e) Bidder must quote products in accordance with above clause “Eligible goods andrelated services”.6.5. Noticesa) Any notice given by one party to the other pursuant to the Contract shall be in writingto the address specified in the contract. The term “in writing” means communicatedin written form with proof of dispatch and receipt.b) A Notice shall be effective when delivered or on the Notice’s effective date,whichever is later.6.6. Governing LawThe Contract shall be governed by and interpreted in accordance with the laws of theRajasthan State/ the Country (India), unless otherwise specified in the contract.6.7. Scope of Supplya) Subject to the provisions in the bidding document and contract, the goods andrelated services to be supplied shall be as specified in the bidding document.b) Unless otherwise stipulated in this document, the quantity and specifications are forminimum quantity and configuration respectively. The bidder may supply higherconfiguration.c) Unless otherwise stipulated in the Contract, the scope of supply shall include allsuch items not specifically mentioned in the Contract but that can be reasonablyinferred from the Contract as being required for attaining delivery and completion ofSeal & Signature of the Auth.
