INFORMATION ABOUT ANF
Corporate governance
Independence criteria for members of the Supervisory Board were
reviewed at the Compensation and Appointments Committee
meeting on March 20, 2009 and the Supervisory Board meeting on
March 25, 2009. At the meeting on March 25, 2009, the Supervisory
Board, upon a proposal by the Compensation and Appointments
Committee, considered the following members to be independent:
Sébastien Bazin, Bruno Bonnell, Éric Le Gentil, Alain Lemaire and
Philippe Monnier. At its meeting on March 19, 2010, the Supervisory
Board confi rmed its decision regarding the independent status of
the above-mentioned members of the Supervisory Board.

As a result, on the date of this Registration Document, out of the
thirteen members of the Supervisory Board, fi ve are independent
members. The latter represent at least one third of the composition
of the Supervisory Board, pursuant to the recommendations of the
AFEP/MEDEF Corporate Governance Code (Article 8.2).
The Supervisory Board met fi ve times in 2009, with an attendance
rate of 86%.
2. The proposal to appoint Fabrice de Gaudemar as member of the Supervisory Board of ANF was submitted at the Shareholders’ Meeting
held on May 6, 2010.

Contents
Fabrice de Gaudemar has been a member
of the Executive Board of Eurazeo since
2010.
He joined Eurazeo in 2000 and participated
in making or monitoring of investments
in Eutelsat, Cegid, Rexel, Europcar and
APCOA.
Prior to this, Fabrice de Gaudemar was
project manager at the Ministry of Defens e
where he was in charge of designing
and deploying new telecommunications
networks.
He is also a permanent representative
of Eurazeo on the Board of Directors of
Europcar Groupe.
He is a graduate of the École Polytechnique
and the École Nationale Supérieure des
Télécommunications.
