Supply of InformationThe agenda for each Board meeting is prepared by the<strong>Group</strong> Company Secretary based on the ‘board calendar’and finalised in consultation with the Chairman andPresident & GCEO. The meeting agenda together with aset of Board papers containing information relevant tothe matters to be deliberated at the Board meeting isforwarded to the Directors at least seven days in advancebefore the Board meeting. This is to provide sufficienttime for Directors to review, consider, and if necessary,obtain further information or research on matters to bedeliberated including consulting the Management or the<strong>Group</strong> Company Secretary or to seek independentadvice, if necessary to ensure their readiness for theBoard meetings. The processes put in place help toensure effective Board proceedings.Board papers are prepared in a well-structured andconcise format providing both quantitative and qualitativeinformation thereby enabling informed decisions to bemade. The Board papers include among others:-i) Minutes of meetings of the Board as well as mattersarising from such meetings. Actions on all mattersarising from any meeting are reported at thefollowing meeting;ii)iii)iv)Reports of meetings of all Board Committeesincluding matters requiring the full Board’s deliberationand approval;Annual budgets and business plans;Business and investment strategies;v) Quarterly performance reports of the <strong>Group</strong>, whichinclude information on financial, industry and strategicbusiness issues and update;vi)Major operational, financial, technical, legal andregulatory issues;As and when the need arises, Directors are also providedwith ad hoc reports and information papers to ensurethey are appraised on key business, operational,corporate, legal, regulatory and industry matters. Inorder to maintain confidentiality, Board papers related tosensitive Human Resource matters and major corporateproposals are hand delivered separately in sealedenvelopes and may only be opened by addressees.All issues raised, discussions, deliberations, decisions andconclusions including dissenting views made at Boardmeetings along with clear actions to be taken byresponsible parties are recorded in the minutes. Wherethe Board is considering a matter which a Director hasan interest, the relevant Director immediately discloseshis interest and abstains from participating in anydiscussion or voting on the subject matter.Directors’ TrainingA dedicated budget for Directors’ training is providedannually to encourage Directors to attend relevant anduseful training which contribute to the effective dischargeof their duties as Directors. An induction programme isorganised for new Directors of the <strong>Group</strong> and thisprogramme normally includes visits to the <strong>Group</strong>’sbusiness and meetings with Senior Management asappropriate.<strong>Axiata</strong> has on continuous basis, identified conferencesand seminars which are considered as relevant and usefulin enhancing Directors’ business acumen andprofessionalism in carrying out their duties. Internalbriefings on key corporate governance requirements andupdate on changes to the Main LR, laws and regulationsare also provided on a regular basis where Directors arefully informed of the impact of such developments orchanges to the Company and/or the Directors.vii) Technological developments and updates;viii) Reports on risk management; andix)Board papers on other matters for discussion/approval.<strong>Axiata</strong> <strong>Group</strong> <strong>Berhad</strong> • 070
