1 On 11 June <strong>2010</strong> 58,934 ord<strong>in</strong>ary shares were released to Simon Pryce at nil cost and on that day 30,057 shares were sold at 188.9p per share and 28,877 shares were transferred to him. This is the fnal<br />

release relat<strong>in</strong>g to an award of shares made to Simon Pryce on 18 June 2007 under which equal 33.3% tranches were released to him after one, two and three years of service.<br />

2 The performance conditions <strong>in</strong> respect of the conditional awards made <strong>in</strong> 2007 were not satisfed and no vest<strong>in</strong>g occurred at t he end of the three-year performance period. The awards made to<br />

participants lapsed.<br />

16 March <strong>2010</strong> was 188.5474p. This was the price used to determ<strong>in</strong>e the number of match<strong>in</strong>g shares awarded on 16 March <strong>2010</strong>.<br />

iv Under normal circumstances, a L<strong>in</strong>ked Award will only vest to the extent needed to provide suf cient funds to meet the exercise price of an Approved Share Option under the 2006 Executive Share<br />

Option Plan (as described on page 79). The numbers stated <strong>in</strong> table 3 will be the maximum number of shares that will vest under the L<strong>in</strong>ked Award which is l<strong>in</strong>ked to the number (noted <strong>in</strong> table 4<br />

below) of Approved Share Options granted under the 2006 Executive Share Option Plan. Fewer shares will vest under the L<strong>in</strong>ked Award if the share price <strong>in</strong>creases between the date of grant and<br />

vest<strong>in</strong>g as fewer shares will be required to cover the exercise price of the Approved Share Option.<br />

i <strong>BBA</strong> <strong>Aviation</strong> plc ord<strong>in</strong>ary 29 16 /21p shares: mid-market price on 31 December <strong>2010</strong> was 221.6p. Mid-market price for <strong>2010</strong> was <strong>in</strong> the range 158p to 221.6p.<br />

ii There were no changes <strong>in</strong> the directors’ options to acquire ord<strong>in</strong>ary shares between 31 December <strong>2010</strong> and 1 March 2011.<br />

iii Options granted under the 1994 (amended 2001) Executive Share Option Scheme vested and became exercisable as the growth <strong>in</strong> the Company’s earn<strong>in</strong>gs per share, as adjusted, for any period of<br />

three consecutive years was at least 9% greater than the growth <strong>in</strong> <strong>in</strong>fation.<br />

iv Options granted under the 2004 Plan became exercisable after the third anniversary of the date of grant to the extent that t he performance conditions were satisfed.
