Board meetings<br />

The Board routinely meets seven times per year in January,<br />

March, May, June, July, September and November, and<br />

supplements these scheduled meetings with additional<br />

meetings as business priorities require. During this year, the<br />

Board met eight times with each member (who served as a<br />

director during the year) attending as follows:<br />

The non-executive directors meet with the Chairman, but<br />

without the executive directors present, before and after<br />

each Board meeting.<br />

<strong>Report</strong>s and papers are circulated to Board members<br />

in a timely manner in preparation for meetings, and this<br />

information is supplemented by any information specifically<br />

requested by directors from time to time. The directors also<br />

receive monthly management reports and information to<br />

enable them to review the group’s performance.<br />

The group’s performance is also reviewed monthly by the<br />

executive team. This includes reviewing performance<br />

against operational targets (including those relating to<br />

safety, delays, project performance and risk management)<br />

and against financial targets (including revenue and capital<br />

budgets).<br />

The Board’s performance<br />

Board effectiveness review<br />

The Board is committed to continuous improvement and a<br />

performance evaluation of the Board, its committees, and<br />

the Chairman is conducted each year. This year, the Board<br />

effectiveness review was administered by the Company<br />

Secretarial department using structured questionnaires.<br />

The results have been assessed by the Board at its May<br />

<strong>2015</strong> meeting and appropriate actions agreed. The Board<br />

effectiveness review was last administered by an external<br />

party in 2012/2013, when it was facilitated by KPMG LLP and<br />

included detailed interviews with each director.<br />

Director induction<br />

Following their appointment, the Company Secretary<br />

consults with new directors on the scope of induction to<br />

<strong>NATS</strong> which they require and a personalised induction<br />

programme is developed.<br />

During the year, such a programme was provided to Paul<br />

Golby, Harry Bush, Will Facey and Chris Bennett. This<br />

programme included briefings on governance and the<br />

<strong>NATS</strong> business, presentations from relevant executive<br />

management, and visits to key operational centres.<br />
