41. anatolia Presidents, as is typical, serve at the pleasure of the Board. the<br />
President can be “removed (by the Trustees) whenever in their judgment the best<br />
interests of the corporation would be served...” (By-laws art. 5.3).<br />
42. “Shared governance” was introduced into the anatolia vocabulary by the<br />
Trustee Duties Policy (2.2.0). the intent was to emphasize interdependence and<br />
cooperation within the bounds of the corporate concept of dividing responsibility<br />
between directors and executives hierarchically. this is to be distinguished from<br />
the constitutional concept of “checks and balances,” or similar horizontal power<br />
sharing arrangements, between equal government branches.<br />
43. the “Endowment” consists of accumulated unrestricted funds that are invested<br />
(By-laws art. 9).<br />
44. the largest us database on non-profits is Guidestar, which as of 2010 contained<br />
over 5 million Irs form 990 filings on 1.9 million organizations.<br />

a general review of us and international non-profits. www.buffettbank.com. the<br />
Practicing law Institute (“PlI”) and the american law Institute-american Bar<br />
association (“alI - aBa”) provide continuing legal education on non-profit governance.<br />
deloitte consulting has published a summary of its survey on worldwide<br />
education entitled “Making the grade 2011: A study of the top 10 issues facing<br />
higher education institutions.”<br />
to date, guidance on Greek institutional governance appears to be of a general<br />
nature and remains limited to the business context. (Interview with dr. antonis<br />
ananiadis, ’65, of the athens Bar.) research for this Presentation did not reveal<br />
any authoritative Greek commentaries on non-profit governance. the on-going<br />
educational debate may be expected to produce Greek data and literature. It is also<br />
expected to consider american structures eclectically since that experience may<br />
be the most instructive. the us is generally believed to offer the greatest diversity<br />
in educational governance, including state, parochial, non-profit and proprietary<br />
institutions, and the broadest range of funding mechanisms and practices.<br />
45. In Greece corporations, i.e. “anonymes eteries” or “AE”, are commercial<br />
law creatures and do not have a non-profit form (art. 29 et seq. law on commerce,<br />
arts. 888-900 and law 2190/1920, as amended and codified).
