matters that require its attention, criteria exist to aid in determining items that may be included on a<br />

Board meeting agenda.<br />

1. Items submitted for consideration by the Board may emanate from the following sources:<br />

a. Individual Rotary clubs (by petition)<br />

b. Rotary District Conferences<br />

c. Rotary institutes for present, past, and incoming officers of RI<br />

d. Councils on Legislation<br />

e. RI committees<br />

f. Trustees of The Rotary Foundation<br />

g. General Council of RIBI<br />

h. Current RI general officers, including the general secretary<br />

i. Current RI officers<br />

j. Past RI general officers<br />

k. Any committee of the Board<br />

Other than the above-named persons, individuals may not submit items for the agenda of Board<br />

meetings.<br />

2. The Board considers items on the basis of written presentations and background statements,<br />

including, when appropriate, proposals and recommendations for action by the Board. Except<br />

in cases where the president may determine that a personal presentation will be beneficial to<br />

the Board's consideration of a matter, the Board does not receive groups or individuals who<br />

may wish to appear personally before the Board.<br />

3. Items on which the president, or the Executive Committee, or the general secretary is authorized<br />

by the Board to act on behalf of the Board shall be reported to the Board.<br />

4. Items included in the agenda for consideration at a meeting of the Board shall normally be<br />

limited to those that involve or relate to:<br />

a. duties and responsibilities placed on the Board by statute and that have not been delegated<br />

by the Board;<br />

b. establishing new policy or modifying or terminating existing policy;<br />

c. short-range and long-range planning for the international association;<br />

d. establishing a new program of RI, modifying an existing program, or terminating a program<br />

previously established by the Board;<br />

e. authorizing an expenditure not provided for in the RI budget as adopted by the Board, or<br />

modifying a budget appropriation as previously approved by the Board;<br />

f. a change in RI policy, procedures or programs that would require action by a Council on<br />

Legislation;<br />

g. programs and expenditures of The Rotary Foundation;<br />

h. internal audit matters.<br />

5. All matters of an administrative nature that can properly be considered to fall within the duties<br />

and responsibilities of the general secretary, shall be referred to the general secretary for<br />

attention and, as needed, for decision, thus relieving the Board of the task of dealing with such<br />

matters and preserving to the Board the time at its meetings to consider and act on those
