28.030.11. Board Interaction with Staff<br />

The following plan shall be followed in an effort to continue the good and productive<br />

relationship between the Board, the general secretary and the staff.<br />

If feasible, at each meeting in Evanston of the Executive Committee, time will be allotted<br />

for an informal discussion of items of mutual interest between the committee and the<br />

general secretary and those senior managers who report to the general secretary.<br />

Once each year, if feasible, the president will arrange with the general secretary to hold<br />

an informal meeting in Evanston of the Board and the general secretary and all senior<br />

managers, as defined by the general secretary, to discuss matters of mutual concern.<br />

The president, in consultation with the general secretary, shall determine the items to be<br />

discussed at each meeting, after each has conferred with all Directors and senior staff<br />

respectively.<br />

It is understood that other persons may be added to the meetings referred to above, as<br />

appropriate, at the discretion of the president and the general secretary.<br />

If feasible, Directors should consult the appropriate Senior Manager before bringing to<br />

the Secretariat staff new assignments or requests for information or assistance. This<br />

procedure will maintain staff priorities, responsibilities and accountability. However, this<br />

procedure is not necessary when a regular working relationship on a similar matter has<br />

been previously established between a director and a staff member. A director may<br />

continue to use the corporate services division to convey the new request to a senior<br />

28.030.12. Post-Board Meeting Activities<br />

The general secretary shall ensure that all decisions taken by the Board at its meetings are<br />

distributed to Directors for confirmation prior to the adjournment of the meeting. The<br />

general secretary shall provide printed minutes of Board meetings within 60 days<br />

following each meeting of the Board. Appendices to the minutes shall be filed only with<br />

the official copy of the minutes only if the decision of the Board to which such appendix<br />

relates specifically states that such appendix is to be filed only with the official copy of<br />
