28.090.1. Implementation<br />

The Code of Ethics shall be distributed to and reviewed with directors-elect as part of<br />

their orientation session. It will also be provided to directors at least annually. Each<br />

director will annually acknowledge that he has read the Code and understands and will<br />

comply with his responsibilities hereunder.<br />

The Code of Ethics will be made available to all Rotarians upon request and will be<br />

published on RI’s website. Additionally, the Code will be published in RI’s annual<br />

report, or alternatively, the annual report may refer readers to the version published on<br />

28.090.2. Interpretation and Enforcement<br />

When made aware of a potential or alleged violation of the Code of Ethics, the General<br />

Secretary and the President will provide available details to the Executive Committee.<br />

The Executive Committee will then obtain all relevant information and take such action<br />

as it deems appropriate, including providing counsel to the alleged violator and providing<br />

recommendations to the Board for corrective action. Only the Board may take<br />

disciplinary action against a director, consistent with RI’s constitution and bylaws and the<br />

28.100. Indemnification of RI Directors and Officers<br />

The Board has adopted the following statement pursuant to its authority under Article 23 of the<br />

RI Bylaws:<br />

Rotary International shall indemnify all of its present and former directors and officers to the full<br />

extent permitted by the Illinois General Not for Profit Corporation Act of 1986, or any successor<br />

legislation adopted by the State of Illinois of the United States of America, the relevant<br />

indemnification provisions of which act are hereby incorporated herein by reference. In<br />

addition, Rotary International may, upon approval of the directors, indemnify any committee<br />

member or agent of Rotary International to the full extent permitted under the said General Not<br />

for Profit Corporation Act. Rotary International shall also cause to be purchased insurance for<br />

such indemnification of its officers and directors to the full extent determined from time to time<br />
