INTEREST OF OUR DIRECTORS
All of our Directors may be deemed to be interested to the extent of fees payable to them for attending meetings of the
Board, commission payable to our Non-executive Directors as well as to the extent of remuneration payable to our
executive Directors for their services as executive directors of our Company and reimbursement of expenses payable
to them under our Articles of Association. All our Directors may also be deemed to be interested to the extent of
Equity Shares, if any, already held by them or their relatives or firms, trusts or other entities/ bodies corporate in
which they have interest, and also to the extent of any dividend payable to them and other distributions in respect of
the said Equity Shares. Our non-Promoter Directors may also be deemed to be interested in the Equity Shares, if any,
out of the present Issue that may be subscribed by and Allotted/transferred to the companies, firms and trusts and
other entities/bodies corporate in which they are interested as Directors, members, partners and/or trustees or
otherwise as also any benefits, monetary or otherwise derived there from.
Except as stated in the section titled “Financial Statements” and “Related Party Transactions” in this Draft Red
Herring Prospectus, our Company has not entered into any contract, agreements or arrangements during the preceding
two years from the date of this Draft Red Herring Prospectus in which the Directors are directly or indirectly
interested and no payments have been made to them in respect of the contracts, agreements or arrangements which are
proposed to be made with them including the properties purchased by our company other than in the normal course of
business.
Further except as stated under the heading Related Party Transaction under the chapter titled “Financial Statements”
beginning on page 148 of this Draft Red Herring Prospectus, the Directors do not have any other interest in the
business of our Company.
