a. Agreement dated February 14, 2011 among NSDL, our Company and Registrar to the Issue;
b. Agreement dated February 16, 2011 among CDSL, our Company and Registrar to the Issue.
All Bidders will be allotment Equity shares only in dematerialised mode. Bids from any Bidder without relevant
details of his or her depository account are liable to be rejected.
a. A Bidder applying for Equity Shares must have at least one beneficiary account with either of the Depository
Participants of either NSDL or CDSL prior to making the Bid.
b. The Bidder must necessarily fill in the details (including the Permanent Account Number, Beneficiary
Account Number and Depository Participant„s identification number) appearing in the Bid cum Application
Form or Revision Form.
c. Allotment to a successful Bidder will be credited in electronic form directly to the beneficiary account (with
the Depository Participant) of the Bidder.
d. Names in the Bid cum Application Form or Revision Form should be identical to those appearing in the
account details in the Depository. In case of joint holders, the names should necessarily be in the same
sequence as they appear in the account details in the Depository.
e. If incomplete or incorrect details are given under the heading “Bidders Depository Account Details” in the
Bid cum Application Form or Revision Form, it is liable to be rejected.
f. The Bidder is responsible for the correctness of his or her Demographic Details given in the Bid cum
Application Form vis-à-vis those with his or her Depository Participant.
g. Equity Shares in electronic form can be traded only on the stock exchanges having electronic connectivity
with NSDL and CDSL. The Stock Exchanges where our Equity Shares are proposed to be listed have
electronic connectivity with CDSL and NSDL.
h. The trading of the Equity Shares of our Company would be in dematerialised form only for all investors in
the demat segment of the respective Stock Exchanges.
i. Non-transferable allotment advice or refund orders will be directly sent to the Bidders by the Registrar to the
Issue
Communications
All future communications in connection with Bids made in this Issue should be addressed to the Registrar to the
Issue quoting the full name of the sole or First Bidder, Bid cum Application Form number, Bidders Depository
Account Details, number of Equity Shares applied for, date of Bid form, name and address of the member of the
Syndicate or the Designated Branch of the SCSBs where the Bid was submitted and cheque or draft number and
issuing bank thereof or with respect to ASBA Bids, bank account number in which the amount equivalent to the Bid
Amount was blocked.
Bidders can contact the Compliance Officer or the Registrar to the Issue in case of any pre-Issue or post-Issue
related problems such as non-receipt of letters of Allotment, credit of allotted Equity Shares in the respective
beneficiary accounts, refund orders etc. In case of ASBA Bids submitted to the Designated Branches of the
SCSBs, the Bidders can contact the Designated Branches of the SCSBs.
Impersonation
Attention of the applicants is specifically drawn to the provisions of sub-section (1) of Section 68 A of the Companies
Act, which is reproduced below:
"Any person who:
a) makes in a fictitious name, an application to a company for acquiring or subscribing for, any shares
therein, or
b) otherwise induces a company to allot, or register any transfer of shares, therein to him, or any other
person in a fictitious name,
