Capital increase reserved for employeesThe most recent General Meeting called to approve a proposal to increase the share capital reserved foremployees, which “authorised the Executive Board to increase the share capital, if it deems itappropriate, in one or more offerings, by issuing ordinary shares for cash and by the granting of freeordinary shares or other securities giving access to the share capital reserved for employees of theCompany and its subsidiaries members of a company savings plan, with cancellation of the pre-emptionright for an amount not exceeding 0.5% of the nominal share capital on the date the Executive Boarddecides to carry out the capital increase and for a period of 26 months” was held on 4 May 2011.3.10.2. Potential share capitalThe exercise of all options outstanding at 31 December 2012 would lead to the creation of 1,554,109new shares, which would increase the share capital from 125,883,964 shares to 127,438,073 shares, amaximum potential dilution of 1.23%.At 31 December 2012, outstanding options will be fully exercisable for the plans from 2005 to 2008inclusive.None of the plans had an exercise price lower than the share price at 31 December 2012.
