Our role is to express anopinion on these financial statements based on our audit.1. Opinion on the annual financial statementsWe conducted our audit in accordance with accepted professional standards applicable in France. Thesestandards require that we plan and perform the audit to obtain reasonable assurance that the financialstatements are free of material misstatement. An audit includes examining evidence supporting theamounts and disclosures in the financial statements on a test basis or other means of selection. An auditalso involves assessing the accounting principles used and the significant estimates made bymanagement, as well as evaluating the overall adequacy of the presentation of information in the financialstatements. We believe our audit provides a reasonable basis for our opinion.In our opinion, in light of French accounting principles and methods, the annual financial statements givea true and fair view of the financial position, assets and liabilities, and net profit of the company from thetransactions for the financial year then ended.2. Justification of assessmentsPursuant to the application of the provisions of Article L. 823-9 of the Commercial Code relative to thejustification of our assessments, we bring to your attention the following matters:• Notes 2.1.2 and 2.4 disclose the Company’s principles and methods for accounting for its coproductionsand broadcasting rights,GROUPE M6 - DOCUMENT DE REFERENCE 2012 - 234
2012 FINANCIAL STATEMENTS AND RELATED NOTES• Note 2.3 relating to accounting rules and methods discloses the Company’s methods for accountingfor its financial assets at the end of the financial year,• Note 2.9 discloses the Company’s method for the assessment and recognition of provisions forliabilities and charges.Our work consisted in assessing the data and assumptions relating to these elements on which theestimates are based and to verify the appropriateness of the accounting policies and disclosures in thenotes to the financial statements.These assessments were made within the framework of our audit, which focuses on the financialstatements as a whole, and accordingly contributed to the issuance of a clean opinion in the first part ofour report.3. Specific verifications and informationWe have also performed the specific verifications required by law, in accordance with professionalstandards applicable in France.We have no comments to make concerning the fairness and consistency with the annual financialstatements of the information given in the management report and in the documents sent to theshareholders concerning the financial situation and the annual financial statements.Concerning the information provided in accordance with provisions of Article L. 225-102-1 of theCommercial Code on remuneration and benefits paid to Directors as well as commitments given in theirfavour, we have verified their consistency with the financial statements or with the data used in thepreparation of these financial statements and if necessary, with data collected by your company from itsparent company or subsidiaries.
