<strong>2012</strong> FINANCIAL STATEMENTS AND RELATED NOTESAgreements and commitments authorised during <strong>the</strong> financial yearWe were also made aware of <strong>the</strong> following agreements and commitments, previously approved by <strong>the</strong>General Meeting on 3 May <strong>2012</strong> upon submission of a supplementary special report of <strong>the</strong> Statu<strong>to</strong>ryAudi<strong>to</strong>rs dated 29 March <strong>2012</strong>, which were not executed during <strong>the</strong> financial year just ended:With Robin Leproux, member of <strong>the</strong> Executive Board.Nature and purposeFollowing <strong>the</strong> appointment of Robin Leproux as member of <strong>the</strong> Executive Board, by <strong>the</strong> SupervisoryBoard on 14 February <strong>2012</strong>, your Company made <strong>the</strong> same commitments as those made for <strong>the</strong> benefi<strong>to</strong>f <strong>the</strong> o<strong>the</strong>r members of <strong>the</strong> Executive Board, in compliance with <strong>the</strong> consolidated Code of CorporateGovernance AFEP /MEDEF.Terms and conditionsThe compensation for <strong>the</strong> termination of Robin Leproux’s employment contract as a member of <strong>the</strong>Executive Board is equal <strong>to</strong> <strong>the</strong> difference between twenty four months of gross monthly remunerationcalculated on <strong>the</strong> basis of <strong>the</strong> <strong>to</strong>tal remuneration, including fixed and variable items, received over <strong>the</strong> lasttwelve months preceding <strong>the</strong> termination of his employment contract and <strong>the</strong> cumulative legal andstatu<strong>to</strong>ry compensation potentially due <strong>to</strong> him in respect of <strong>the</strong> termination of his employment contract.The entitlement <strong>to</strong> severance pay is <strong>to</strong> be acquired progressively over <strong>the</strong> first twenty four months ofemployment, and may not subsequently exceed <strong>the</strong> amount thus established.Direc<strong>to</strong>rs’ fees are excluded from <strong>the</strong> calculation base <strong>to</strong> <strong>the</strong> extent that <strong>the</strong> contractual compensationRobin Leproux benefits from is attached <strong>to</strong> his employment contract. The payment of severance pay islimited <strong>to</strong> cases in which he is not dismissed due <strong>to</strong> a serious fault or gross negligence, and subject <strong>to</strong>strict compliance with a performance condition <strong>to</strong> be achieved by <strong>the</strong> Group over <strong>the</strong> last 36 monthspreceding <strong>the</strong> termination of his duties.
