Background: Yves-Thibault de Silguy has a degree in law from the University of Rennes, a Master’s degree in public law, and is<br />
a graduate of the Institut d’Études Politiques Paris, public service section, and of the École Nationale d’Administration. From<br />
1976 to 1981, he worked at the Ministry of Foreign Affairs and then from 1981 to 1985, for the European Commission. He<br />
then worked at the French Embassy in Washington as a Counsellor (economic affairs) from 1985 to 1986. From 1986 to 1988,<br />
he was an adviser in the Prime Minister’s offi ce with responsibility for European affairs and international economic and fi nancial<br />
affairs. From 1988 to 1993, he was Director in the international affairs department and then Director for International Affairs<br />
of the Usinor Sacilor Group. From 1993 to 1995, he was Secretary-General of the Interdepartmental Committee for Questions<br />
of Economic Cooperation in Europe and at the same time, adviser for European affairs and vice-sherpa in the Prime Minister’s<br />
offi ce, assisting in the preparation of summits of the industrialised nations. From 1995 to 1999, he was European Commissioner<br />
responsible for economic, monetary and fi nancial affairs. In January 2000, he became a member of the Executive Board of<br />
Suez Lyonnaise des Eaux, of which he was Chief Executive Offi cer from 2001 to 2002.<br />

Willy Stricker is also Chairman of the Board of Directors of IFE Fund (Luxembourg) and a Director of Canal +.<br />

Background: a graduate of the École Centrale, Paris, Willy Stricker was a management consultant in the Bossard group from 1968<br />
to 1970, head of computing at Compta Carte Informatique from 1970 to 1973, editor-in-chief of Société Générale de Presse<br />
from 1973 to 1980, Information Director at Compagnie Générale d’Electricité from 1980 to 1983, Communications Director<br />
of Association Française de Banques from 1983 to 1986, Deputy General Manager of Compagnie Financière de CIC from 1986<br />
to 1987. He was Deputy General Manager, Executive Vice-President and then General Manager (Communication) at Générale<br />
Occidentale from 1987 to 1991. He was Chairman and Chief Executive Offi cer of the Express group and of the Media SA group<br />
from 1988 to 1992, Chairman of Communication Développement from 1993 to 1995, of Canal J from 1993 to 1999, CDC<br />
Participations (later known as CDC Ixis Private Equity) from 1995 to 2004 and has been Senior Banker at CDC Ixis since 2004.<br />
He has been a Director of Canal + since 1995 and of <strong>VINCI</strong> since 2000.<br />
Director representing employee shareholders<br />
Denis Vernoux is an engineer at <strong>VINCI</strong> Construction Grands Projets, and is Chairman of the Joint Supervisory Board of the<br />
<strong>VINCI</strong> “Castor” and “Castor Relais” corporate mutual funds, and Chairman of the Supervisory Boards of the “Castor Avantage”<br />
and “Castor Equilibre” corporate mutual funds.<br />
Background: a qualifi ed engineer (EIM-CHEBAP), Denis Vernoux has spent all his working life since 1973 in the <strong>VINCI</strong> group.<br />
In particular he was chief engineer in the technical department of Campenon Bernard. He is now chief engineer in the<br />
engineering and technical means department of the subsidiary, <strong>VINCI</strong> Construction Grands Projets. At the same time, Denis<br />
Vernoux has successively been a member and secretary of the local works council at the head offi ce of Campenon Bernard and<br />
then of <strong>VINCI</strong> Construction Grands Projets. He is secretary of the works council of <strong>VINCI</strong> Construction Grands Projets.<br />
(3) Reappointment for the four years from 2006 to 2010 will be proposed to the Shareholders Meeting.<br />
Note: appointments expire at the Shareholders Meeting called to approve the fi nancial statements of the period before the period referred to.<br />
