c<strong>on</strong>trol references<br />
internal c<strong>on</strong>trols in the banking sector<br />
in france and internati<strong>on</strong>ally are at the<br />
centre of banking and financial regulati<strong>on</strong>s<br />
and are governed by a wide range<br />
of laws and regulati<strong>on</strong>s.<br />
in this sector, the main regulati<strong>on</strong><br />
applicable to bnP <strong>Paribas</strong> is cclrf<br />
regulati<strong>on</strong> no. 97-02 (1) as amended,<br />
which defines the c<strong>on</strong>diti<strong>on</strong>s for implementing<br />
and m<strong>on</strong>itoring internal c<strong>on</strong>trol<br />
systems in banks and investment firms.<br />
these rules lay down the principles relating<br />
to c<strong>on</strong>trol systems for transacti<strong>on</strong>s<br />
and internal procedures, accounting<br />
systems and informati<strong>on</strong> processing,<br />
risk and performance measurement<br />
systems, risk supervisi<strong>on</strong> and c<strong>on</strong>trol systems,<br />
and internal c<strong>on</strong>trol documentati<strong>on</strong><br />
and reporting systems. under article<br />
42 of this regulati<strong>on</strong>, banks are required<br />
to prepare an annual statutory report<br />
<strong>on</strong> internal c<strong>on</strong>trol for the attenti<strong>on</strong> of<br />
the board of directors.<br />
as required by regulati<strong>on</strong> no. 97-02,<br />
bnP <strong>Paribas</strong> has set up an internal c<strong>on</strong>trol<br />
system (referred to herein as internal<br />
c<strong>on</strong>trol) in which distinct organisati<strong>on</strong>s<br />
and managers are in charge of permanent<br />
c<strong>on</strong>trols and periodic c<strong>on</strong>trols. the<br />
internal c<strong>on</strong>trol system must also take into<br />
account, as appropriate, the general<br />
regulati<strong>on</strong>s of amf (french financial<br />
markets authority), regulati<strong>on</strong>s applicable<br />
to branches and subsidiaries outside<br />
france and to specialised operati<strong>on</strong>s<br />
such as portfolio management and<br />
insurance, the most widely accepted<br />
industry practices in this area and the<br />
recommendati<strong>on</strong>s of internati<strong>on</strong>al bodies<br />
dealing with the capital adequacy<br />
framework issues, foremost am<strong>on</strong>g<br />
which are the “basel committee” and<br />
the “senior supervisory group.”<br />

definiti<strong>on</strong>, objectives<br />
and standards<br />
the executive management of the<br />
bnP <strong>Paribas</strong> group has set up an internal<br />
c<strong>on</strong>trol system whose main aim is to ensure<br />
overall c<strong>on</strong>trol of risks and provide<br />
reas<strong>on</strong>able assurance that the bank’s<br />
goals in this area are being met.<br />
this system is defined in the group’s<br />
internal c<strong>on</strong>trol charter, which serves as<br />
its basic internal reference document.<br />
widely distributed within the group and<br />
freely available to all group employees,<br />
this charter defines internal c<strong>on</strong>trol as a<br />
mechanism for ensuring:<br />
— the development of a str<strong>on</strong>g risk<br />
c<strong>on</strong>trol culture am<strong>on</strong>g employees;<br />
— the effectiveness and quality of the<br />
group’s internal operati<strong>on</strong>s;<br />

regulati<strong>on</strong>s and internal policies.<br />
the charter lays down rules relating to<br />
the organisati<strong>on</strong>, lines of resp<strong>on</strong>sibility<br />
and remit of the various players involved<br />
in internal c<strong>on</strong>trol, and establishes the<br />
principle that the different c<strong>on</strong>trol functi<strong>on</strong>s<br />
(compliance, general inspecti<strong>on</strong><br />
unit and risk management) must be<br />
exercised independently.<br />
scope of internal c<strong>on</strong>trol<br />
<strong>on</strong>e of the fundamental principles of<br />
internal c<strong>on</strong>trol is that it must be exhaustive<br />
in scope: it applies in the same<br />
degree to all types of risk and to all entities<br />
in the bnP <strong>Paribas</strong> group, whether<br />
operati<strong>on</strong>al (core businesses, business<br />
lines, functi<strong>on</strong>s and territories) or legal<br />
(branches and c<strong>on</strong>solidated subsidiaries),<br />
without excepti<strong>on</strong>. it also extends<br />
to core services or operati<strong>on</strong>al activities<br />
that have been outsourced, in accordance<br />
with regulatory requirements,<br />
as well as to companies for which the<br />
group ensures operati<strong>on</strong>al management,<br />
even if not integrated in the scope<br />
of c<strong>on</strong>solidati<strong>on</strong>.<br />
implementing this principle requires<br />
a precise overview of the allocati<strong>on</strong>s<br />
of resp<strong>on</strong>sibilities and must factor in<br />
the <strong>on</strong>going growth in the group’s<br />
businesses.
