ARTICLE I<br />

CONTRACT DOCUMENTS<br />

1.1 Definitions<br />

1.1.1 "Architect" or "Engineer" means the Architect or the Engineer (A/E) engaged by the <strong>College</strong> to act as<br />

an authorized representative <strong>of</strong> the Contracting Officer in regards to designing, supervising the construction <strong>of</strong> the<br />

referenced project and will provide general administration services as described in the A/E Agreement with the<br />

<strong>College</strong>.<br />

1.1.2 Where "as shown", "as indicated", "as detailed", or words <strong>of</strong> similar import are used, it shall be<br />

understood that the reference is made to the drawings accompanying this contract unless stated otherwise. The word<br />

"provided" as used herein shall be understood to mean "provided complete in place", that is "furnished and installed".<br />

1.1.3 Bulletin or Addendum: "Addenda" are documents issued by the <strong>College</strong> prior to opening <strong>of</strong> bids<br />

which supplements, revises or modifies the solicitation documents furnished for bidding purposes. "Bulletins" are<br />

documents, issued by the <strong>College</strong> after the opening <strong>of</strong> bids which supplements, revises or modifies the construction<br />

documents.<br />

1.1.4 Change Order Request: A request for equitable adjustment made by the Contractor in response to<br />

written direction by the Contracting Officer pursuant to Article 14 "Changes to Contract."<br />

1.1.5 Claims: Differences between the <strong>College</strong> and the Contractor concerning extra work, alleged errors or<br />

omissions in the specifications or drawings, unreasonable delays, damages to work, informal suspensions or<br />

interferences by <strong>College</strong> Personnel and like matters.<br />

1.1.6 <strong>College</strong>: <strong>Ramapo</strong> <strong>College</strong> <strong>of</strong> <strong>New</strong> <strong>Jersey</strong>.<br />

1.1.7 Construction Manager / Construction Management Firm: One who acts as the <strong>College</strong>’s<br />

authorized representative, without assuming any <strong>of</strong> the Architect/Engineer’s contractual, statutory, or customary<br />

obligations, and will provide general administration and construction management services as described in the<br />

Construction Management Agreement with the <strong>College</strong>.<br />

1.1.8 "Contract Documents" means this contract, together with any plans, drawings, specifications or other<br />

documents which are attached hereto or incorporated herein by reference, together with any such plans, drawings,<br />

specifications, schedules, or other documents which may be produced pursuant to this contract or derived therefrom and<br />

which are intended to bind the Contractor hereunder.<br />

1.1.9 Contract Limit Lines: refers to those lines shown on the Drawings which limit the boundaries <strong>of</strong> the<br />

<strong>Project</strong> and beyond which no construction Work or activities shall be performed by the Contractor unless otherwise<br />

noted on the Drawings or Specifications.<br />

1.1.10 Contract Line Item Number (CLIN): A specifically described unit <strong>of</strong> work for which a price is<br />

provided in the contract.<br />

1.1.<strong>11</strong> "Contractor" means the person or persons, partnership, or corporation named as Contractor in this<br />

contract, operating, as an independent contractor and not as an agent <strong>of</strong> the State in the performance <strong>of</strong> its functions.<br />

Whether referred to as "Contractor", "Prime Contractor", "Prime", "Separate Contractor", or Single Contractor, it shall<br />

be understood to mean Contractor. It does not include suppliers or materialmen.<br />

1.1.12 Contracting Officer means the individual authorized, as an <strong>of</strong>ficer <strong>of</strong> the <strong>College</strong>, to administer the<br />

design, engineering and construction <strong>of</strong> all <strong>College</strong> Buildings and facilities. He is the Procuring Contracting Officer<br />

RCNJ <strong>Project</strong> No. <strong>11</strong>-<strong>210C</strong> - 4 -
