important meeting. Two such evaluations were made<br />
during the fiscal year.<br />
2.7 Role of the Chief Executive Officer<br />
and the Executive Committee<br />
On September 1, 2005, the roles of the Chairman<br />
of the Board of Directors and the Chief Executive<br />
Officer were separated and Michel Landel became<br />
the Chief Executive Officer of Sodexo, succeeding<br />
Pierre Bellon.<br />
The Chief Executive Officer has the authority to<br />
manage the operations and functions of the Group.<br />
Limits are placed on the powers of the Chief<br />
Executive Officer. These limits are set by the Board<br />
of Directors, based on the recommendations of the<br />
Chairman of the Board. The Chief Executive Officer<br />
must obtain the prior consent of the Board to pledge<br />
corporate assets as collateral (for amounts exceeding<br />
25 million euro for a duration of less than 5 years,<br />
for an amount exceeding 15 million euro per unit<br />
for a duration of between 5 and 10 years, and for<br />
all guarantees covering a longer period), or to bind<br />
the Company beyond specific limits as regards the<br />
acquisition of shareholdings exceeding 25 million<br />
euro per transaction, disposals of shareholdings<br />
exceeding 20 million euro per transaction, or<br />
additional medium and long-term borrowings<br />
exceeding 50 million euro. The Chief Executive<br />
Officer must also obtain the prior consent of the<br />
Board for decisions relating to the start-up of new<br />
activities. These limits are not enforceable against<br />
third parties, as the Chief Executive Officer has the<br />
broadest powers to bind the Company in its dealings<br />
with third parties.<br />
In his role as Chief Executive Officer, Michel Landel<br />
is supported by an Executive Committee, which<br />
consisted of nine members at August 31, 2011.<br />
The Executive Committee meets once a month, and<br />
is the linchpin of the management structure. It is<br />
responsible not only for discussing and developing<br />
strategies to be recommended to the Board of<br />
Directors, but also for monitoring implementation<br />
of these strategies once the Board has approved them.<br />
The Executive Committee tracks implementation of<br />
action plans, monitors business unit performance,<br />
and assesses the potential benefits of growth<br />
opportunities and the risks inherent in its business<br />
operations.<br />

Additionally, the Group Chief Executive Officer is<br />
supported by a Group Investment Committee whose<br />
members comprise the Chief Executive Officer, the<br />
Group Chief Financial Officer and one or more than<br />
one of the Chief Operating Officers concerned, in<br />
order to consider, and approve:<br />
• significant new contracts (depending on the<br />
business unit, this relates to all new contracts<br />
with estimated annual revenues of between 25<br />
and 45 million euro);<br />
• all plans to acquire shareholdings or any other<br />
plan to invest in property, plant and equipment or<br />
intangible assets exceeding the range of between 2<br />
and 6 million euro, depending on the business<br />
unit, as well as cumulative over-runs of any<br />
investment budget approved at the beginning of<br />
the fiscal year; and<br />
• disposals of shareholdings exceeding 1 million<br />
euro.<br />
This Committee formally met ten times during<br />
Fiscal 2011 but its members also reviewed a number<br />
of time-sensitive items.<br />
