8.40 TERMINATION FOR BREACH OF WARRANTY TO MAINTAIN<br />

COMPLIANCE WITH COUNTY’S CHILD SUPPORT COMPLIANCE<br />

PROGRAM<br />

Failure of <strong>the</strong> Contractor to maintain compliance with <strong>the</strong> requirements set<br />

<strong>for</strong>th in Subsection 8.14, Contractor’s Warranty of Adherence to County’s<br />

Child Support Compliance Program, shall constitute default under this<br />

Contract. Without limiting <strong>the</strong> rights and remedies available to <strong>the</strong> County<br />

under any o<strong>the</strong>r provision of this Contract, failure of <strong>the</strong> Contractor to cure<br />

such default within ninety (90) calendar days of written notice shall be<br />

grounds upon which <strong>the</strong> County may terminate this Contract pursuant to<br />

Subsection 8.43, Termination <strong>for</strong> Default and pursue debarment of <strong>the</strong><br />

Contractor, pursuant to County Code Chapter 2.202.<br />

8.41 TERMINATION FOR CONVENIENCE<br />

8.41.1 This Contract may be terminated, in whole or in part, from time to<br />

time, when such action is deemed by <strong>the</strong> County, in its sole<br />

discretion, to be in its best interest. Termination of work hereunder<br />

shall be effected by notice of termination to <strong>the</strong> Contractor<br />

specifying <strong>the</strong> extent to which per<strong>for</strong>mance of work is terminated<br />

and <strong>the</strong> date upon which such termination becomes effective. The<br />

date upon which such termination becomes effective shall be no<br />

less than ten (10) days after <strong>the</strong> notice is sent.<br />

8.41.2 After receipt of a notice of termination and except as o<strong>the</strong>rwise<br />

directed by <strong>the</strong> County, <strong>the</strong> Contractor shall:<br />

• Stop work under this Contract on <strong>the</strong> date and to <strong>the</strong> extent<br />

specified in such notice, and<br />

• Complete per<strong>for</strong>mance of such part of <strong>the</strong> work as shall not<br />

have been terminated by such notice.<br />

• Contractor shall submit to County, in <strong>the</strong> <strong>for</strong>m and with <strong>the</strong><br />

certifications as may be prescribed by County, its termination<br />

claim and invoice. Such claim and invoice shall be submitted<br />

promptly, but not later than three (3) months from <strong>the</strong> effective<br />

date of termination. Upon failure of Contractor to submit its<br />

termination claim and invoice within <strong>the</strong> time allowed, County<br />

may determine, on <strong>the</strong> basis of in<strong>for</strong>mation available to County,<br />

<strong>the</strong> amount, if any, due to Contractor in respect to <strong>the</strong><br />

termination and such determination shall be final. After such<br />

determination is made, County shall pay Contractor <strong>the</strong> amount<br />

so determined.<br />
