and 2001 and merging with Wiener Städtische AG in 2002, Wiener Städtische AG increased its<br />

share in InterRisk Wiesbaden to 100%.<br />

In December 1999, Vienna Life Lebensversicherungs AG, with its registered office in Liechtenstein,<br />

was founded by Wiener Städtische AG, starting operations in 2000.<br />

Since 2001, the Vienna Insurance Group has held a participation in the two Polish insurance<br />

companies Compensa Non-Life and Compensa Life. In 2001, Vienna-Life was merged into<br />

Compensa Life and in 2003, Heros merged into Compensa Non-Life. After acquiring the shares<br />

of HUK Coburg in both Compensa companies in 2005, Wiener Städtische now wholly owns<br />

Compensa Life and close to 100% of Compensa Non-Life (0.14% are still free float).<br />

Since 2001, Komunálna poist’ovňa a.s., with its registered office in Bratislava, has been part of<br />

the Vienna Insurance Group.<br />

In 2001, the Group entered the Romanian market by acquiring Unita S.A.<br />

In 2001, Wiener Städtische osiguranje, a company active in the life insurance business in which<br />

Wiener Städtische AG held a participation since 1999, merged with the non-life insurance<br />

company Kvarner osiguranje d.d to form Wiener Städtische osiguranje d.d. (Kvarner), which<br />

has its registered office in Rijeka.<br />

In 2002, Unita acquired a majority in Agras S.A., the biggest agricultural insurance company in<br />

Romania.<br />

In mid-2002, Compensa Sach’s participation in the Belarus Kupala (Joint-Belarus-Austrian<br />

Insurance Company Kupala), which has its registered office in Minsk, was acquired.<br />

In 2002, Wiener Städtische AG entered the Bulgarian market by acquiring the Bulgarski Imoti<br />

Companies (Bulgarski Imoti Life insurance company and Bulgarski Imoti Non-Life insurance<br />

company) founded in 1994.<br />

Since 2002, the Slovakian life insurance company, Kontinuita poist’ovňa a.s., has belonged to<br />

the Vienna Insurance Group.<br />

At the end of 2002, the Wiener Städtische osiguranje a.d. was founded in Serbia and has its<br />

registered office in Belgrade. It began operations in the field of property insurance against loss<br />

and damage and life insurance.<br />

In 2004, a branch office of Wiener Städtische AG was set up in Slovenia.<br />

At the end of 2004, the Vienna Insurance Group began operations in Ukraine by acquiring a<br />

participation in Jupiter Versicherung through a capital increase.<br />

In early 2005, the Issuer further expanded its market share in Croatia by acquiring a majority<br />

holding in Universalversicherung AURUM osiguravajuce drustvo d.d. In November 2005 the<br />

shareholders’ meetings of AURUM and Kvarner Wiener Städtische osiguranje adopted resolutions<br />

approving the merger of AURUM into Kvarner.<br />

In 2005, the Issuer acquired a substantial share in the Romanian SC OMNIASIG S.A., a<br />

company which holds participations in other Romanian insurance companies. In April 2006, the<br />

stake in SC Omniasig S.A. was increased to 93.61% through the acquisition of 21.16% of the<br />

shares of the Romanian Banca Comerciala Romana (BCR).<br />

In 2005, the Vienna Insurance Group entered into an agreement for the acquisition of Kniazha<br />

in order to expand its activities in Ukraine. In February 2007, the Vienna Insurance Group<br />

increased its stake in Kniazha to 80% through a capital increase. In December 2005, the<br />

Vienna Insurance Group entered into agreements concerning the acquisition of JC Globus<br />

Uzhgorod.<br />

In 2005, the Issuer acquired Victoria, the property-casualty insurance company in Belarus.<br />

In May 2005, Kooperativa Prague, which belongs to the Vienna Insurance Group, entered into<br />

an agreement providing for the acquisition of 100% of the shares of Česká podnikatelská<br />

pojisˇt’ovna, a.s.<br />
