Por otro lado, dentro del contexto de la cláusula de seguir la<br />
suerte, preguntas tales como si el asegurador puede ser culpado o<br />
no por ciertas ocurrencias o si la acción que él haya tomado en un<br />
caso específico está de acuerdo con la práctica general son totalmente<br />
inoportunas, ya que el riesgo original solamente puede realizarse<br />
a causa de los actos efectuados por el asegurado y no por<br />
el asegurador.<br />
En vista de las diferencias entre las nociones de riesgo original<br />
y seguir la suerte, por un lado, y las de dirección de negocios y seguir<br />
las acciones, por otro lado, y teniendo en cuenta la dificultad<br />
que muchos contratantes en el mercado brasilero tuvieron para<br />
comprender el verdadero alcance de cada uno de esos elementos<br />
contractuales tradicionales, nos parece conveniente tratar esos temas<br />
separadamente, como así las condiciones de las cláusulas<br />
apropiadas. Por ese motivo, presentaremos algunos ejemplos que<br />
indiquen los límites entre los conceptos.<br />
4.1 El Principio de Seguir la Suerte en Relación al Riesgo Original<br />
El análisis del principio de seguir la suerte en relación al riesgo<br />
original pasa, necesariamente, por el estudio pormenorizado de<br />
éste en relación al alcance de la propia cobertura. Algunas veces<br />
surgen dificultades prácticas resultantes del hecho, generalmente<br />
aceptado, de que el principio de seguir la suerte posee validez general,<br />
aún no habiendo sido expresamente firmado.<br />
Pero no es exactamente así. Los aseguradores pueden negarse<br />
a limitar la responsabilidad del reasegurador, como la establecida<br />
por las cláusulas de estabilidad en las coberturas de exceso de<br />
pérdida de responsabilidad civil, o la llamada cláusula de evaluación<br />
incorrecta de la pérdida máxima probable en contratos de Incendio,<br />
sosteniendo que tales cláusulas violan el propio principio<br />
de seguir la suerte. A partir de esta premisa, el principio de seguir<br />
la suerte no perjudica la formación de contratos nuevos, ni las condiciones<br />
específicas que pueden ser estipuladas, solamente sirve<br />
para interpretar los contratos existentes.<br />
Ante la presencia de la libertad general para realizar contratos<br />
(autonomía de la voluntad) como se juzgue apropiado, las partes<br />
están libres para negociar las cuantías de la responsabilidad que<br />
debe aceptar el reasegurador, el alcance material de la cobertura y<br />
el precio que debe pagar al asegurador por la cobertura que recibe.<br />
Por esa razón, la intención del principio de seguir la suerte no<br />
consiste en expresar que el propósito de un contrato de reaseguros<br />
es cubrir todo, sino indicar en qué grado el reasegurador es<br />
responsable por los siniestros relacionados con los riesgos claramente<br />
cubiertos en el contrato.<br />
En consecuencia, el reasegurador solamente sigue la suerte del<br />
asegurador en el riesgo original hasta el límite convenido en el contrato<br />
de reaseguro. Suponiendo, por ejemplo, que las pólizas de<br />
responsabilidad civil ante terceros para la industria farmacéutica<br />
estén expresamente excluidas del alcance de la cobertura, en un<br />
contrato de reaseguros que cubra póliza de la modalidad de responsabilidad<br />
civil, no se puede esperar que el reasegurador asuma<br />
dicha responsabilidad simplemente sobre la base del principio<br />
de seguir la suerte, simplemente por el hecho de que el asegurador<br />
emite la póliza de seguro. Igualmente, un reasegurador, cuya<br />
responsabilidad máxima según el contrato es de R$ 5 millones, no<br />
aceptará la responsabilidad total en un riesgo original aceptado<br />
por el asegurador que exceda la retención convenida para las partes;<br />
por ejemplo, de R$ 10 millones.<br />
Luego, la cobertura del riesgo original aceptada por el asegurador<br />
puede ser limitada por el contrato de reaseguro, tanto en cali-<br />

this latter in a specific case would be in accordance with the general<br />
practice. In fact, the original risk may only be converted into a<br />
harmful occurrence by behaviors from insured persons, rather than<br />
from insurers.<br />
Given the differences between the concepts of original<br />
risk/follow the fortunes and business direction/follow the<br />
settlements, as well as the difficulties of Brazilian market to<br />
understand the real scope of each of these traditional contractual<br />
elements, it seems to be convenient to approach these issues in<br />
separate items, together with the appropriate conditions for the<br />
relevant clauses. Therefore, we shall present below some examples<br />
to emphasize the boundaries between “follow the fortunes” and<br />
“follow the settlements” notions.<br />
4.1 The Follow the Fortunes Principle in Relation to Original Risks<br />
Any analysis on the follow the fortunes principle in relation to<br />
the original risk shall necessarily require the study of the<br />
connection between this latter and the scope of coverage itself.<br />
Some difficulties arise from the usual assumption that the follow<br />
the fortunes principle should apply, even if not expressly agreed<br />
between the parties.<br />
However, this is not exactly the case. Insurers may refuse to limit<br />
reinsurers’ liability, as provided by stability clauses in relation to<br />
civil liability coverage of surplus damages against third parties, or<br />
by the so-called incorrect determination of probable maximum<br />
losses in agreements with surplus for fire risks, as insurers could<br />
sustain that such clauses violate the follow the fortunes principle<br />
itself. Based on this premise, the follow the fortunes principle<br />
should only apply to the interpretation of existing agreements,<br />
without prejudice to the execution of new agreements or to<br />
stipulation of specific conditions.<br />
As the contracting parties can execute agreements (autonomy of<br />
will) as they deem as appropriate, they are free to negotiate the<br />
amounts of reinsurers’ liability, the material scope of coverage, as<br />
well as the price payable to insurers in consideration of the<br />
insurance coverage. Therefore, the follow the fortunes principle<br />
intends to indicate the level of reinsurers’ liability for claims<br />
relating to risks clearly covered under the contract, rather than to<br />
expressthat reinsurers’ contractual risk lies on the coverage of<br />
claims.<br />
Consequently, reinsurers shall only follow the insurer’s fortunes<br />
relating to the original risk up to the limit agreed under reinsurance<br />
agreements. For instance, in the event that policies covering civil<br />
liability against third parties in the field of pharmaceutical industry<br />
are expressly excluded from the scope of coverage of a reinsurance<br />
agreement that covers civil liability policies, one should not expect<br />
the reinsurer to undertake such liability merely based on the follow<br />
the fortunes principle. Likewise, a reinsurer whose maximum<br />
liability under the agreement corresponds to R$ 5 million shall not<br />
accept, for instance, a R$ 10 million aggregate liability for an<br />
original risk accepted by the insurer, as such amount exceeds the<br />
retention agreed between the parties.<br />
Thus, reinsurance agreements may limit the coverage of original<br />
risks as accepted by insurers, both in qualitative and quantitative<br />
